What changed since 12 September [12]. Price 17.32 → 15.77 (-8.95%). Warranted ratio 2.17 → 1.83 — the valuation gap closed materially, as the price fell and forward earnings rolled. Timing 47 → 34, which crosses Neutral into Weak. Quality 64 → 56. Driver 42 → 37. Signal SELL on all three horizons, unchanged. The Donatien Pick stays Stopped — the auto-Stop lifts only on a BUY.
The shape of it: the name got cheaper and worse-timed at the same time. That is why a 9% fall in the price did not buy an upgrade.
SoFi is a US digital bank. It began as a student-loan refinancer, acquired a national bank charter in 2022, and now funds its lending with its own deposits rather than with wholesale money — which is the single most important fact about the business, because deposit funding is cheaper and stickier than the alternative. It lends (student, personal and home loans), sells financial services (cash management, investing, insurance), and runs a technology arm, Galileo and Technisys, that provides the plumbing to other financial institutions. Chief executive Anthony Noto has run it since 2018. The company reached sustained profitability in the FOURTH QUARTER OF 2023 — the last loss is Q3-2023, which is what the cited series shows and what makes the run eleven quarters rather than ten; an earlier draft said 2024 [21], which is inconsistent with its own count — and has printed eleven consecutive profitable quarters since [20].
Two gates TRIGGERED — financial distress and valuation ceiling — and five carry a caution. Neither trigger changes a signal, because a gate caps and can never raise: each would pull a BUY down to HOLD, and the base matrix already reads SELL on all three horizons, so both caps bind nothing. Gate 1 fires on a free-cash-flow arm that is met by every growing deposit-funded lender — see its card for why the measure is the wrong instrument here and why the carve-out is filed as framework debt rather than granted in this report. The Expensive band does its real work elsewhere: it CONSTRAINS the valuation pillar below 40, and the pillar's own lens build lands at 36 inside that range, which is what puts the matrix on the SELL row. No Do-Not-Buy trigger fires, and Trigger 4 in particular is adjudicated explicitly rather than waved through — see the insider row above.
The franchise is real and the returns are not yet. SoFi has printed eleven consecutive profitable quarters [20] and grew net revenue 42.5% year on year to $1,219m in the June quarter. That is a genuine compounding franchise, and the deposit funding it won with the bank charter is the reason it can lend at a spread without depending on wholesale markets.
But the return on tangible equity does not cover the cost of equity. On the analyst panel it is 10.12% in 2027 against a 11.74% cost of equity, reaching only 10.94% in 2028 — still BELOW the hurdle, which is why an earlier draft's 'does not cover until about 2028' was false at five surfaces. On this model's own ramp the hurdle is first cleared in 2030 at 12.31%; on the analyst panel the first year above it is 2029, the thin four-analyst year this report declines as a model input. A bank earning below its cost of capital destroys value on every incremental dollar of equity it retains, however fast the top line grows. That single sub-score — 45 on returns — is what holds the pillar at 56 rather than the 70s the growth rate alone would suggest.
| Sub-score | Score | Weight | Contribution |
|---|---|---|---|
| Profitability — eleven consecutive profitable quarters [20] | 68 | 0.164 | 11.15 |
| Returns — ROTE does NOT cover the cost of equity until 2030 on this model's ramp [4] [9] | 45 | 0.164 | 7.38 |
| Growth — net revenue +42.5% year on year [2] | 82 | 0.123 | 10.09 |
| Balance sheet and capital [13] | 58 | 0.123 | 7.13 |
| Moat and franchise — deposit funding [13], against a Technology Platform segment whose contribution profit is DOWN 64.5% and net revenue down 23.1% year on year [13] | 52 | 0.123 | 6.40 |
| Management and capital allocation — judgemental, and the only declared evidence is the insider record [7]; the capital-allocation half rests on the 10-Q's own zero-dividend, zero-buyback position [13] and otherwise on judgement this report cannot source [21] | 66 | 0.123 | 8.12 |
| Industry benchmark — ROE and efficiency vs the FDIC Consumer Lenders group [26] | 32 | 0.180 | 5.76 |
| Quality | 1.000 | 56.03 → 56 |
Weights are shown to three places deliberately: the six original legs are rescaled uniformly by 0.82 to make room for the industry-benchmark weight of 0.18 — which the SKILL mandates as a BAND, "approximately 15-20% of the Quality score" (L615), so 0.18 is a CHOICE inside a mandated range and not itself mandated, as an earlier draft called it. It gives 0.164 and 0.123 rather than round numbers. At two places the column would sum to 0.98 and the contributions would not reproduce the pillar.
The prior report scored 64 and this one scores 56, and the honest account of the fall is that THE LEG SET WAS RESTRUCTURED — not that one leg moved. An earlier draft said the fall was 'mostly the INDUSTRY BENCHMARK leg' with 'the rest coming off the returns sub-score', and round 12 showed that is false on BOTH readings of the baseline [21]. Against the prior report's own build, the benchmark leg contributed 8.82 and now contributes 5.76, a fall of 3.06 — a MINORITY of the total move, not 'mostly' it — and the comparable returns leg went UP, because the prior report's single 47-scored returns-and-capital leg is now two legs (Returns 45 and Management-and-capital-allocation 66) which together weight out ABOVE it. Against the intra-run baseline, if the six original legs are unchanged in score then the benchmark addition accounts for the WHOLE drop and nothing 'comes off returns' at all. Both readings refute the sentence, in opposite directions, which is the signature of a delta narrated rather than derived. What is true: the prior report carried a benchmark score of 49 and an earlier draft of THIS report dropped the field entirely; the benchmark is now scored at 32 and weighted 0.18 as the framework mandates; the six original legs are rescaled UNIFORMLY by 0.82 so none is silently re-judged; and the one leg whose SCORE moved on its own evidence this run is the moat, 60 to 52 — see `carry_provenance`.
SoFi publishes neither of the two figures this card is struck on — 'efficiency ratio', 'return on equity' and 'return on tangible' occur zero times in the Q2-2026 release — so both are derived from its reported lines and labelled as derived. The benchmark is the FDIC's own Q2-2026 Quarterly Banking Profile, and the group used is CONSUMER LENDERS (n=31) [26], which this report takes to be SoFi Bank's own FDIC asset-concentration group rather than banks in general. THAT MEMBERSHIP IS NOT SOURCED HERE AND IT IS THE CHOICE THE WHOLE CARD RESTS ON. The Quarterly Banking Profile publishes group AGGREGATES and names no member institutions; the FDIC's group definition is criteria-based and the per-institution assignment lives in BankFind and the SDI, neither of which this report declares [21]. So the membership is a judgement from SoFi Bank's balance sheet — a consumer-lending book dominated by personal and student loans — and a reader who disputes it should compare against the ALL-INSURED column published alongside, which is the reason both columns are shown. On that column SoFi fails more widely, not less, so the choice of the narrower group is the FRIENDLIER of the two to this name. The leg carries 0.18 of Quality, the largest single weight in the pillar, which is why the unsourced step is stated rather than left implicit.
| Metric | SoFi | FDIC Consumer Lenders (n=31) [26] | All insured (n=4,238) [26] | Verdict |
|---|---|---|---|---|
| Return on equity, TTM, on AVERAGE equity — the FDIC's own convention, which is read off the Quarterly Banking Profile itself [26] (its ROE is bank net income as a percentage of AVERAGE total equity capital, annualised); an earlier draft cited the SoFi equity series for the FDIC's methodology, which a series of SoFi's own equity cannot establish [21]. The numerator and the average denominator are SoFi's [19] [2] | 6.63% | 15.14% | 13.76% | FAILS — 8.5pp below the group, under half of it |
| ↳ the same return on END equity, and annualised from Q2 alone | 5.74% / 5.72% | — | — | shown because the basis moves the figure by ~0.9pp — see the caveats |
| Efficiency ratio, TTM (non-interest expense / net revenue) — the NUMERATOR is the release's [25] and the DENOMINATOR is the income statement's net revenue [2], which an earlier draft left uncited in this table [21] | 82.00% | 53.15% | 55.38% | FAILS — 29 points worse; lower is better here |
| Efficiency ratio, Q2-2026 alone [25] [2] | 82.11% | 53.15% | 55.38% | Fails, and flat against the TTM rather than improving |
| Benchmark score | 32/100 | — | — | weighted 0.18 of Quality |
THREE basis mismatches, and they do NOT all point the same way — an earlier draft said two and claimed both cut against the comparison. First, the FDIC figures are ASSET-WEIGHTED AGGREGATES rather than medians, so they are dominated by the largest institutions in each group. Second, and more importantly: SoFi's 82.0% is a CONSOLIDATED HOLDING-COMPANY ratio that includes Galileo, Technisys and unallocated corporate cost, while the FDIC groups are bank call-report filers. Roughly 33 of those 82 points are the technology platform and overhead rather than bank operating expense — the bank-like segments show net revenue of US$1,191.1m against contribution profit of US$611.7m, a 48.6% directly-attributable cost ratio [25]. That 48.6% is a contribution margin including provision and excluding overhead, and it is NOT an efficiency ratio; it is stated here so the reader can see the gap is not all operating inefficiency, and it is deliberately not published as a competing figure. THIRD, and it points the OTHER way: the FDIC ratios sit under a heading reading 'Performance Ratios (annualized)' and are a SINGLE QUARTER annualised, while SoFi's are trailing twelve months. SoFi's Q2-annualised return on equity is 5.72% against its TTM 6.63%, so matching the basis properly would make SoFi look WORSE, not better. Two of the three mismatches flatter the SELL and one flatters the name; the score of 32 reflects the net of them, held loosely because none is exact.
And the return-on-equity comparison is NOT basis-clean either, which an earlier draft of this card wrongly claimed it was. That draft said 6.63% against 15.14% was 'consolidated on both sides' — it is not, and the same paragraph said so two sentences earlier in calling the FDIC groups call-report filers. The FDIC figure is a BANK-ENTITY return; SoFi's is SoFi Technologies Inc. CONSOLIDATED, carrying Galileo, Technisys and holdco overhead, and SoFi Bank's own standalone return is materially higher — the segment data above implies as much. That error runs AGAINST the name: it widens the apparent gap and so flatters this SELL. A third mismatch was undeclared altogether: the FDIC ratios are a single quarter ANNUALISED while SoFi's are trailing twelve months, and SoFi's Q2-annualised return is 5.72% — lower than its TTM 6.63%, so that one flatters the name instead. What survives all three: the gap is 8.5 percentage points on the least favourable basis and 9.4 on the most, SoFi Bank is itself inside the n=31 aggregate it is being measured against, and the forward path settles it on the report's own numbers rather than on any benchmark: return on tangible equity of 10.12% in 2027 and 10.94% in 2028 — the hurdle is not cleared until 2030 on this ramp — against a 11.74% cost of equity. A bank that does not earn its cost of capital is what the Returns leg and the anchor both find, by routes that do not depend on this card at all. The benchmark leg is scored 32 on that basis — a clear fail on direction, with the magnitude held loosely because none of the three bases is exact.
Who SoFi is actually up against, and which way share is moving. This feeds the moat sub-score of 52 directly, and it is why that score MOVED this run rather than being carried — see `carry_provenance`.
| Competitor | Where it competes | Share trajectory against SoFi |
|---|---|---|
| Chime | Digital banking, direct-deposit relationships | Gaining in the mass-market segment; larger account base, thinner product set |
| Ally Financial | Digital deposits, auto and personal lending | Stable — a bigger balance sheet and a cheaper deposit base, slower product velocity |
| LendingClub | Personal loans, bank charter | Similar model and the closest structural comparison; sub-scale against SoFi on deposits |
| Capital One / Discover | Consumer credit at scale | Gaining scale after consolidation; far cheaper funding, weaker digital product |
| Marqeta, Fiserv, FIS | Card issuing and core banking, against Galileo | Competitive and consolidating; Galileo is a minority of SoFi revenue |
The honest read on the moat. SoFi's advantage is the combination of a bank charter and a single app that cross-sells — deposit funding is cheaper than wholesale and members who hold several products are stickier. That is real and it is why the sub-score is 52 rather than lower. What it is NOT is a structural barrier: Chime has more accounts, Ally has cheaper funding, and Capital One has both scale and a charter. The moat is execution and product velocity, which is a lead rather than a wall, and a lead has to be re-earned every year. The clearest live example of that product velocity is also the one this report omitted until round 10: on 22 September SoFi Bank became the first bank to settle card transactions in its own stablecoin across Mastercard's global network, over a card book published as MORE THAN US$25bn of ANNUALISED volume — a floor, and a volume that migrates over time rather than a revenue line; neither company has disclosed how much has actually settled in SoFiUSD, and 'migrating GRADUALLY' is the reporting's characterisation rather than a company statement, which §15 withdrew and an earlier draft of THIS passage went on publishing [29] — and this report OMITTED it until round 10 [21]. It is a genuine first and it belongs on the page. It earns NO pillar credit here, and the moat sub-score stays 52 rather than moving — the same disposition the 2026-09-12 report reached on the risk-factor disclosure [22], and for the same reason, strengthened rather than weakened by the go-live: no revenue, fee or margin figure has been published, US$25bn is an ANNUALISED volume that migrates over time rather than a revenue line [29], and ten days of production is not a franchise. Scoring it would be scoring a press release. It is recorded as a risk-surface change at Gate 5 instead, which is where the company's own Item 1A puts it. That last sentence about the lead is MY JUDGEMENT and carries no citation, because none of this report's declared sources covers competitive position: the company profile that an earlier draft cited here holds beta, market capitalisation, exchange, chief executive and headcount, and cannot speak to a moat. The named rivals and their share direction in the table above are NOT sourced either — an earlier draft of this sentence claimed they were, which was false: the Competitive Environment section carries no citation at all, and saying the table was sourced while conceding only the verdict was opinion is exactly the move that disarms a reader's scepticism about the table. The rivals are the obvious ones and their share direction is my read of the trade press, undated and unrecorded. Treat the whole block as judgement; the verdict that this is a lead rather than a barrier is an opinion, and the 52 it produces is the weakest-evidenced sub-score in the Quality pillar.
The anchor is price-to-tangible-book, not price-to-earnings, and that is not a stylistic choice. A bank's earnings are an output of its balance sheet and its provisioning; its book is the thing that compounds. Anchoring a lender on a P/E multiple is the error that flipped two mining calls in this project three days apart, and the same lesson applies here.
Both sides forward. Actual = $15.77 divided by forward tangible book 7.5782 = 2.0810×. Forward tangible book is the 7.3042 at 30 June rolled on retained earnings — SoFi pays no dividend and runs no buyback — over a 0.585% share creep for stock compensation. The 12 September report published 2.36× and called it forward while dividing by the TRAILING tangible book. That is the mixed-basis error the framework names, and it is corrected here rather than carried.
The warranted multiple is derived, not borrowed. A two-stage residual-income model: residual income is (return on tangible equity less cost of equity) times opening tangible book, discounted at the cost of equity, with the return path running from 10.12% in 2027 to a terminal 13% by 2031 and a 3% terminal growth rate. Cost of equity = 5.24 ten-year + 4.5 equity risk premium + 2.0 RISK add-on, which this name takes on its beta of 2.208 rather than on its quality band [10] = 11.74% [9]. That gives a warranted 1.1367×, and a warranted value per share of $8.61. The 2027 return is DERIVED and not a panel figure — no analyst publishes a return on tangible equity. It is the panel's FY2027 consensus net income of US$1,048.0m on 14 analysts [4] over this model's AVERAGE tangible book for the year — the mean of its opening and closing book, which is the convention the FDIC card on this same page uses for return on equity and the basis `valuation_model` declares [13]; only the net income is the panel's. An earlier draft of this sentence said 'opening tangible book', which does not reproduce the published figure: on opening book the return is 10.66%, not 10.12% [21]. The choice is disclosed rather than buried because it moves the anchor: re-struck on OPENING-book returns throughout, the warranted multiple is 1.1552× and the ratio 1.8013× — still EXPENSIVE, still a triggered Gate 3, still SELL on all three horizons, and the basis actually used is the HARSHER of the two. An earlier draft called it 'the analyst panel's 10.12%', which attributes to the panel a number it does not produce.
THE WHOLE CALL TURNS ON ONE INPUT, so here is the sensitivity rather than a claim. The Expensive/Full boundary at 1.40× falls between a terminal return on tangible equity of 15% and 16% — the two adjacent rows of the table below, DERIVED from it rather than typed beside it, and consistent with the solved 15.51% further down. An earlier draft said "between 13% and 14%", which the very table it introduces disproves: at 13% the ratio is 1.8308 and at 14% it is 1.6351, both deep in Expensive. That sentence was TRUE at the withdrawn 10.74% cost of equity, where the edge sat at 13.90%; round 5's mandated risk add-on moved the edge and only the solved figure followed, so the prose understated the distance to the band that decides this call by about 1.6pp of terminal return for four rounds:
| Terminal ROTE | Warranted P/TBV | Ratio | Band | |
|---|---|---|---|---|
| 10% | 0.7539× | 2.7601 | EXPENSIVE | |
| 11% | 0.8774× | 2.3718 | EXPENSIVE | |
| 12% | 1.0049× | 2.0708 | EXPENSIVE | |
| 13% | 1.1367× | 1.8308 | EXPENSIVE | ← SCORED |
| 14% | 1.2727× | 1.6351 | EXPENSIVE | |
| 15% | 1.4130× | 1.4727 | EXPENSIVE | |
| 16% | 1.5577× | 1.3359 | Full | |
| 17% | 1.7069× | 1.2191 | Full |
And the same question asked per input: what would each one have to be for the name to stop being Expensive? The Expensive band ends at 1.40×, so this is the level at which the anchor leaves it. Each row holds the others at their scored values — the combined simultaneous case is below, and it is NOT their sum, because the anchor is nonlinear in the terminal return.
| Uncertain input | Scored | Range tested | Leaves Expensive at (ratio 1.40×) | Reaches it? |
|---|---|---|---|---|
| Terminal return on tangible equity | 13% | 10% to 17% | 15.51% | YES — inside the tested range |
| FY2027 return on tangible equity | 10.12% | 7% either side (panel dispersion 978.1m to 1,117.9m) | not reachable alone | No |
| Cost of equity | 11.74% | roughly a point either side | 10.17% | YES — a 157bp fall, inside the range tested |
| Terminal payout convention | 0% stage 1 / 77% terminal | published convention to a payout-coherent terminal | not reachable — moves the ratio the WRONG way | No — one-sided AGAINST the name (1.8514 vs 1.8308) |
TWO of the four declared inputs can move the band on their own, and that is the honest read of how firm this anchor is. The terminal return on tangible equity is an assumption, not an estimate — no analyst forecasts a perpetual rate — which is why it is published at every value from 10% to 17% rather than asserted at one; it leaves Expensive at 15.51%. The cost of equity leaves Expensive at 10.17%, only 157 basis points below the scored 11.74% — a residual-income model is sharply sensitive to the hurdle because it sits in the terminal denominator as well as in every year's spread. The other two declared inputs cannot reach the edge: FY2027 net income moves the warranted multiple only between 1.1314x and 1.1419x across the whole analyst dispersion, and the terminal payout convention moves the ratio the WRONG way — a payout-coherent terminal gives 1.8514 against the published 1.8308, so the simplification already flatters the name by 1.13% and correcting it would make this call stronger, not weaker. An earlier draft of this table put the cost-of-equity threshold at about 9.6% and answered "No — the Fed is hiking, not cutting"; solving it rather than estimating it reverses the answer. At the scored inputs the ratio is 1.83×, which is the number this call is made on. An earlier draft of this paragraph went on to claim the adverse case was 'taken simultaneously at the adverse end (terminal return 11%)' — that figure was a SINGLE-input row of the table above wearing a three-input label, it used 11% when the declared adverse end is 10%, and it is withdrawn; the real simultaneous cases are below. The same draft called the fragility 'one-sided', which is also withdrawn. Run on this calibration [27] the generator sets its one-sidedness field to null and emits no such verdict, because a ratio in the outermost band has no worse adjacent edge to be one-sided against.
And all three at once, with the model re-run rather than the single-input moves added up. Terminal return at the bottom of the tested range (10%), cost of equity a point higher at 12.74%, FY2027 net income at the panel low of US$978.1m: warranted falls to 0.6441× and the ratio reaches 3.2311×. The adverse case is deep inside Expensive, which is the direction that matters for a SELL — the risk this report carries is not that the name is more expensive than scored, it is the 10.17% hurdle on the other side.
Liquidity, because §8 sends you here for it and an earlier draft left nothing to find. The US$428.0m convertible maturing 15 October settles in CASH up to principal, so the question is not dilution but whether the cash is where it needs to be. Consolidated cash and equivalents were US$3,126.2m at 30 June — not the US$3.37bn a provider field reports — and they FELL US$1,803.2m over the first half, from US$4,929.5m at 31 December. The revolver is US$486.0m DRAWN of US$645.0m and US$497.4m UTILISED — the US$11.4m gap secures letters of credit and is not available for general borrowing [13], which an earlier draft collapsed into 'drawn' [21] — so US$147.6m of it is left. And the structural point: the US$428.0m is a HOLDING-COMPANY obligation while most of that cash sits at the bank, which the Q2 filing says plainly — at 30 June the Bank "would not have any funds free of restrictions that are available for dividend payments". Gross liquidity reserves of US$15.71bn do not answer this, because they are warehouse and Federal Home Loan Bank capacity secured on loans rather than holdco cash. None of which makes US$428.0m a solvency question on a US$20.3bn company — DERIVED here as the 10-Q period-end share count times the stamp close [13] [1], not taken from the provider, whose own share basis implies about US$20.2bn [10]; an earlier draft cited the company profile for it [21], which §15 expressly declares is not its source — with CET1 of 18.7% — it is a liquidity note, which is why it is recorded as one rather than as a gate. [13]
And the case AGAINST this SELL, stated at full strength rather than left in the machine fields. Run the same three inputs to their FAVOURABLE ends at once — terminal return at the top of the tested range (17%), cost of equity a point lower at 10.74%, FY2027 net income at the panel high of US$1,117.9m — and warranted rises to 2.0254× with the ratio falling to 1.0274×. That is FAIR — out of Expensive and 2 band edges below it (1.40, 1.20). And on the matrix that still would not be a BUY. In that counterfactual the band would cap the valuation pillar at 64, and at Quality 56 the matrix would return HOLD — and would still be HOLD even with timing recovered to Improving, because a BUY needs a valuation pillar at 65 or better, which this framework only awards BELOW 1.00x — the Attractive band (at or under 0.80x) or the Attractive/Fair edge (0.80-1.00x), SKILL L709-710. An earlier draft called the whole sub-1.00 range 'the ATTRACTIVE band', which the 0.80 split this report now draws makes imprecise; the threshold and the matrix column are unchanged. A ratio under 1.00×. So the best this conjunction buys is one notch. Earlier drafts of this sentence said ATTRACTIVE, three edges, and 'the one combination which could reach a BUY' — all three TRUE at round 3, when the favourable ratio was 0.8550. Round 5's mandated add-on correction moved it to 1.0274, back across the 1.00× edge, and only the derived band label followed. The band name, the edge count and the signal consequence are all derived now. The derived fragility block says the same thing in its own words: NOT ROBUST, with the declared inputs together covering 1.9 times the gap to the 1.40× edge. So this valuation is NOT firm, and the report should not pretend otherwise. What makes the SELL stand is not that the anchor is unshakeable — it is that reaching that case requires all three inputs to break favourably at once, including a perpetual return above anything the analyst panel carries at any depth, while the two best-covered forward years say 10.12% and 10.94%. A reader who thinks that conjunction is likely should not own this report's conclusion.
13% is scored, and the reason is the conservative-source rule. The two well-covered forward years say the return is 10-11% — 2027 on 14 analysts and 2028 on 11. The year that used to look like the valuation's rescue is 2029 at 15.03%, and that rests on 4 analysts. Scoring 13% is already generous against the deep coverage; taking the thin year at face value is precisely what the rule exists to prevent.
And here is the boundary of this report, which is narrower than three earlier drafts of this paragraph claimed. Take the 2029 panel entirely at face value — a 15.03% terminal return, the thin 4-analyst year — and the warranted multiple is 1.4176× against an actual 2.0810×, a ratio of 1.4680×. That is still EXPENSIVE: the band does not end until 1.40×, and leaving it now needs a terminal return of 15.51% — ABOVE what even the 2029 panel implies. So believing the thin year is worth nothing on this call: Gate 3 still fires, the valuation pillar stays constrained below 40, and the matrix still reads SELL. Three earlier drafts of this sentence were wrong in three different ways, and the history is worth stating because the sentence is the report's own statement of what would refute it. The first asserted a HOLD without running the matrix. The second replaced it with a denial — 'it does not by itself make the name a HOLD' — also without running the matrix, and false. The third ran the matrix correctly and WRONGLY CONCLUDED that believing the 2029 panel was worth one notch, SELL to HOLD — a claim true only on the withdrawn 10.74% cost of equity, and false on the 11.74% the framework mandates for a beta of 2.208. The add-on correction moved the edge from 13.90% to 15.51% and took the 2029 case with it. What WOULD reach a HOLD is a price near 12.06 or a terminal return above 15.51%; at Quality 56 the first valuation score that is not a SELL is 40, and it is a HOLD from there to 64.

Four of these five lenses carry 60% of the pillar weight between them, and an earlier draft of this report published no figure for any of them [21] — no peer median, no peer set, no own-history range, no PEG, and no derivation of the analyst score. A weighted score with no visible input is a judgement wearing a lens's clothes, so here are the inputs. (An earlier draft fixed three of the four and left the analyst lens as the heading's own undelivered promise, under a sentence that said 'three'.)
Peers — and mind the basis, because it runs against the name. The anchor's 2.0810× is a FORWARD multiple; every peer figure available is TRAILING, so the comparison needs a trailing SoFi figure and there are TWO — which an earlier draft published as one. On the 10-Q balance sheet this anchor uses, price over trailing tangible book is 2.1590× (DERIVED: 15.77 over 7.3042) [1] [13]. On the FMP tangibleBookValuePerShareTTM of 7.3384 — WITHDRAWN as this report's own tangible book per share, because the row it comes from declares itself leverage-only [21] — and which is nonetheless the basis the PEER column is struck on, since the peer multiples here are computed from that same field — it is 2.1490×. The field is cited to [17], which declares the P/TBV computation, rather than to `ratios`, whose own row restricts itself to LEVERAGE ONLY; an earlier draft cited `ratios` for it and so exceeded that row's declared bound [21]. The strictly like-for-like number against these peers is therefore the FMP one, 2.1490×, and an earlier draft cited the FMP row for the 10-Q figure. Both are published because the choice is real and the gap is 0.0101×; the premium is 45.4% on the peers' own basis and 46.1% on the 10-Q basis, so nothing in the argument turns on it. Either trailing figure is HIGHER than the forward anchor, which is the point: comparing the forward anchor to trailing peers would have UNDERSTATED the premium.
| US consumer lender | P/TBV (trailing) | Return on tangible equity (TTM) |
|---|---|---|
| LC | 1.486× | 13.1% |
| ALLY | 0.867× | 10.8% |
| SYF | 1.546× | 22.9% |
| BFH | 1.469× | 21.3% |
| Peer median | 1.4775× | 17.2% |
| SoFi, trailing on the FMP field the PEER column uses — LIKE-FOR-LIKE | 2.1490× | 6.75% |
| SoFi, trailing on the 10-Q balance sheet (this anchor's own basis) | 2.1590× | 6.75% |
| SoFi, forward (the anchor's basis) | 2.0810× | 10.12% (2027E) |
That is the lens's whole argument in two numbers. SoFi trades at a 45.4% premium to the peer median [17] on the strictly LIKE-FOR-LIKE basis — the FMP field the peer multiples here are struck on, cited to [17], which declares that computation, and NOT to `ratios`, whose own row restricts itself to leverage; an earlier draft cited `ratios` at this surface while a later note three rows away declared that repair complete [21] — and 46.1% on the 10-Q basis this anchor uses [13] [1] (41% even on the more generous forward figure). An earlier draft published the 10-Q figure as the like-for-like one, rounded to a bare 46%, which attached the headline number to the basis the peers are NOT struck on. The gap is 0.7pp and the lens scores the same either way, which is why both are published rather than one chosen. While earning 6.75% on tangible equity [2] [13] against a peer median of 17.2% [17] — a premium multiple on less than half the peer group's return. Both premiums are DERIVED: SoFi's own multiple and its own return come from this report's price, income statement and balance sheet, and only the peer median comes from the peer payload. The lens scores 28.
The inclusion criterion, stated rather than left to inference, and ALL 7 exclusions. The four names in the median are the chartered US consumer-lending banks — institutions whose equity value is genuinely anchored on a book of loans they hold, which is what makes a price-to-tangible-book comparison mean anything. An earlier draft of this paragraph said 'four names excluded' and listed four while 7 were excluded, so 3 went unnamed: XYZ, NU, DFS. A second draft then described those as 'the two it omitted had the HIGHEST multiples in the set', and that was WRONG twice over, which is worth stating because the sentence exists to defeat a cherry-picking objection and a false defence is worse than none. Three were omitted, not two. And the highest multiple in the set, DAVE at 22.76x, was among the four the draft DID list — the omitted pair with multiples, NU at 5.394x and XYZ at 5.016x, rank 2 and 3 of the 6 excluded names carrying one. What survives the correction is the substance: both omitted multiples sit ABOVE every included name (the highest included is 1.546x), so including them would RAISE the median from 1.4775x and SHRINK SoFi's apparent premium — the exclusions work against this report's conclusion, not for it. Every one is listed now, highest first: DAVE 22.76x, on FMP data internally inconsistent by 5% between its price-to-book and price-to-earnings routes; NU 5.394x — a genuine digital bank but non-US (Brazil); XYZ 5.016x — payments, with tangible book at 40% of book; AFRM 4.864x, and its return on tangible equity is flattered by a tax benefit (effective tax rate -292%); OMF 3.980x, but goodwill leaves tangible book at 48% of book, so the multiple is an artefact of the denominator rather than a market view; UPST 3.234x — a marketplace, not valued on book at all; DFS dropped: isActivelyTrading false and no Yahoo quote (the Capital One merger). FMP still serves frozen ratios for it; they are not used. [17]. Two of the four reasons that earlier draft gave were also weak on their own terms: AFRM was excluded on a return-on-tangible-equity distortion, which is not a reason to drop it from a price-to-tangible-book lens, and OMF on a goodwill-heavy denominator, which is the lens's own arithmetic rather than a fault. Both are better excluded on the criterion above — neither is a chartered bank holding a loan book on its own balance sheet. A regional-bank sanity check (RF, KEY, CFG, FITB) medians 1.7220×, which is HIGHER than the consumer-lender set and so the more flattering comparison — it is not the one used, because regionals are not SoFi's business.
Its own history — and this is the one lens that argues FOR the name. Over twenty quarter-ends from Q3-2021 the multiple ranged 1.423× to 4.455× on a median of 2.462×. Today's 2.0810× sits at the 35th percentile — decile 4, i.e. CHEAPER than two thirds of its own history — and on the post-profitability window alone (Q4-2023 on) it is the 27th. So the name is not expensive against itself, and that is a real argument in its favour. The lens scores 55 rather than 65-plus for a reason that holds in BOTH windows, which an earlier draft got backwards. That draft marked the lens down because the early years are a loss-making company in the aftermath of a SPAC listing — but stripping exactly those readings is what the modern window does, and it puts the name at the 27th percentile rather than the 35th, i.e. CHEAPER. So the SPAC-era argument is a reason to mark the lens UP, not down, and using it to justify a markdown was incoherent. The real reason is that a company's own trading history is weak evidence of what it is worth: SoFi has never once earned its cost of equity over this series — a statement NO DECLARED SOURCE HERE CAN ESTABLISH, and it is left in only because it is labelled: it would need a twenty-quarter return series and a twenty-quarter cost-of-equity series, where the deepest declared series are twelve quarters of net income and five quarter-ends of equity. Treat it as the author's reading of a company that has never covered its hurdle in any period this report DOES measure, not as a sourced twenty-quarter finding [21]. What the series itself supports is the percentile and nothing more, and sitting at the 35th percentile of a range that was never anchored to returns says only that the market used to pay more [18]. A persistently overvalued stock is cheap against itself every day of its life — that is a valuation PROPOSITION, not a reading of the series, and it is deliberately uncited for the same reason the matrix mechanics below are: a twenty-quarter price history can establish where this name sits in its own range and nothing at all about whether that range was ever justified. An earlier draft put the series' marker on the proposition. The weights those two lenses carry — 15% here against 40% for the warranted-multiple anchor — are the FRAMEWORK's mandated valuation weighting, not something this price series could establish; an earlier draft cited the series for them.
Growth-adjusted. The forward price-to-earnings on FY2027 consensus earnings per share of 0.82199 is 19.19×, and the FY2026-to-FY2028 earnings-per-share compound growth rate is 32.34%, giving a PEG of 0.59. Below 1.0 looks cheap on its own, and third-party figures bracket it (Yahoo 0.56, FMP 0.50). In context it is unremarkable: ALLY 0.27, NU 0.62, SYF 0.88 — this sector is cheap on PEG across the board, which is why the lens scores 58 and not 75. The denominator is EPS growth and not net-income growth, deliberately: the numerator is a price-to-EARNINGS multiple, and SoFi's consensus net-income and earnings-per-share series rest on different diluted share counts, so dividing one by the other mixes bases. [4]
Analyst consensus, and how 22 analysts produce a score of 45 rather than something warmer. The median target is $19.00, +20.5% above the close, and the mean 20.35 sits higher still on a range of 12.00 to 30.00 — a +20% median upside is, taken alone, a constructive signal and it is the reason this lens does not score in the 20s like the peer lens. What holds it at 45 is the DISTRIBUTION rather than the target: 4 strong buys and 5 buys against 12 holds and 4 sells, i.e. 48% of the panel sitting on its hands, for a recommendation mean of 2.68 on a scale where 3.00 is a flat hold. A target that implies upside while the recommendation sits at hold is a panel that does not want to own the name at this price, which is the same thing this report is saying. Scored 45 — mildly supportive of the price, not of the position. [5]
A beta-2.208 consumer lender into a tightening cycle is on the wrong side of the macro. The frozen macro state for this run has the Federal Reserve HIKING 25 basis points to 3.75-4.00% on a unanimous vote, with 16 of 18 participants expecting at least one more, and the ten-year at 5.24%. For a lender that funds short and lends long, that compresses the spread from both ends while raising the discount rate applied to its future earnings. [8]

| Driver | 37.00 → 37 |
Not amplification-eligible, and that matters here. A SELL intensifies to STRONG SELL only when the driver is 35 or below. It is 37. So the signal stays SELL rather than being made worse — the framework declining to push a bad case further than the evidence carries it.
Read from the frozen macro state, not re-derived. Financials sit mid-pack in the sector map; the rate path is the live variable and it is ALREADY carried twice — once in the driver pillar and once inside the cost of equity in the anchor [8] [9]. Counting it a third time here would be double-counting, so this pillar is left Neutral and does not amplify — and THAT is the framework's circularity rule, not something the macro state says: the SKILL's two-stage design has the context pillars amplify a base signal and never set it, which is why an input already inside the anchor cannot be re-scored here. Deliberately uncited as framework mechanics; an earlier draft cited the macro state for the rule as well as for the state.

The chart has broken down, and this is the pillar that moved. The prior report scored timing 47, Neutral. It is now 34, Weak — and it is the band change rather than the thirteen points that moves the matrix, because Weak and Neutral land on different rows.
Price $15.77 sits -9.65% below the 50-day average at 17.4544 and -16.75% below the 200-day at 18.9435, with the 20-day at 16.8285 above it too — price is beneath every average that matters. The momentum indicator reads -0.5257 against a signal of -0.4086, a histogram of -0.1171 that is widening rather than converging. The relative strength index is 36.20 — weak, and still 6.20 points above the 30 oversold line. An oversold reading is the one technical condition that argues for a bounce; this reading sits on the wrong side of it. [1]
The name is 6.0% above its 52-week low of $14.88 and 51.8% below its high of $32.73. It has halved. The low was set on 29 July on 193.6m shares [1], which COINCIDED with the June-quarter reporting window — a price series cannot establish that the print caused it — but the dates now line up, and the reason they do is a fix two rounds later [21]. And the COINCIDENCE itself rests on the release date, which is the 8-K's and not the price series' [25]. This report DOES declare the Q2 release: the 8-K Exhibit 99.1 filed 29 July 2026 [25], declared for the efficiency ratio and cited in §3's benchmark card and sub-score build [21]. An earlier draft said 'declared at round 7' and 'cited three times in §3' — both withdrawn: the round number is a claim about this artifact and NO declared source records round 7 (the release row's own note names rounds 4 and 8), and the count of markers in a section is the kind of figure that goes stale the moment a citation is re-routed, which Layer 0.5 then did twice. That is the same day as the 52-week low. So the honest statement is that the low fell on the release date, which is strong circumstantial evidence and still not proof of causation — a 193.6m-share session on the day a bank reports is what a repricing looks like. An earlier draft of this sentence withdrew the causal reading on the ground that "this report declares no Q2 release date", which was true when written and was falsified by this report's own later fix; the round-7 source row made the claim false without anyone re-reading the sentence it licensed. And the claim that used to sit here was FALSE, on this report's own sources. It read: 'No company news explains the slide since — the feed carries no catalyst at all, which is itself the finding: this is a rate-driven de-rating rather than an event-driven one.' Two declared sources contradict it. Citizens Bank filed a RICO complaint against SoFi Bank on or about 9 September, reported on 14 September [30] — inside the slide window and inside the 30-day news window. And SoFi issued a press release on 29 September [14]. And the biggest one was missing from this report altogether until round 10's auditor found it. On 22 September SoFi Bank went live with SoFiUSD settlement across Mastercard's global card network — the first bank-issued stablecoin to do so, across a card book Mastercard and SoFi PUBLISHED as MORE THAN US$25bn of ANNUALISED volume — a FLOOR, not a central estimate, and an earlier draft of this report rendered it as 'roughly US$25bn' at FIVE surfaces — four contiguous and one split across two source lines, which is why the first sweep for it reported four. The error runs AGAINST this name in a SELL report rather than for it: turning a floor into a central estimate understates the opportunity. The migration is still IN PROGRESS with no completion date given, which is the reporting's characterisation rather than a company statement; neither company has disclosed how much has actually settled in SoFiUSD [29]. The tape noticed: 98.9m shares, 1.52× the mean of the 128-session window §10's chart draws (1 April to the stamp), which is the window this ratio is struck on and is named here because no other declared window yields it [1], gapping open at 17.925 from a 16.97 close [1]. And it did not hold. That session closed at 17.16, below its own open, and the shares are -8.1% lower 8 sessions later. Which cuts toward this report's conclusion rather than against it: a genuine first-mover announcement on a US$25bn card book produced one gap-up and then 8 sessions of giving it back, and a market that will not pay for good news is a market re-rating the multiple. What it also does is dispose of the lazier version of the argument — this was not a quiet month. So company-specific news DOES exist in the window [30] [14]; what the feed pull did not surface is not the same thing, and this report's own Muddy Waters row states the principle it then failed to apply to itself — a news scan returning nothing is not evidence that nothing was published [15], which is the only part of this sentence that row can carry. The honest version: the slide is PREDOMINANTLY rate-driven — the sector ETF fell -7.23% over the same month [24] and the ten-year rose from 4.96% to 5.24% over the preceding eight observations [9], which is a repricing of the whole group rather than of this name. But it is not catalyst-free, and SoFi still underperformed that falling sector by -4.37 points [24] [1], which the rate path alone does not explain. The feed pull [11] supports one narrow thing and is cited for that alone: the five items it returned are not catalysts. An earlier draft cited it for the OPPOSITE — for the existence of company news — and that is the shape this run keeps producing, the prose repaired and the citation on it left pointing at the source that denies the repaired claim [21].

This section's heading promises relative strength against the market and the sector, and an earlier draft published neither. The risk/reward leg above is itself a weighted build of three, and it carries 0.20 of the pillar, so leaving its inputs out of the body left a scored figure with no visible derivation — the third time that class has been found in this report, after two valuation lenses and the industry benchmark. Here it is.

Relative strength, which is the leg scored 20. Over three months SOFI is -13.54% against SPY at +3.34% and the financials sector ETF XLF at -3.83% — so -16.88 points against the market and -9.71 against its own sector. Over one month the figures are -12.19 and -4.37. The nuance that makes it a 20 rather than a 35: XLF itself is -7.23% over the month, so the whole sector is being marked down by the rate path — and SoFi is underperforming a sector that is already falling, which is a harsher read than underperforming a rising one. The conversion option is 29.6% out of the money, so this settles in CASH, not shares — the indenture settles cash up to the full principal and shares only above it, and SoFi confirmed at 30 June that it anticipated no incremental spread because the stock was below the conversion price. So it is a liquidity event, not a dilution event: $428.0m against $3,126.2m of consolidated cash. The qualifier that matters is WHERE that cash sits — see the liquidity note in §4. [13] |

Another hike widens the gap between the return on tangible equity and the cost of equity, which is the arithmetic of this report — and it costs net interest income too, because the balance sheet is LIABILITY-sensitive: the company's own +100bp shock takes 12-month net interest income down $159.0m. The 130%-of-conversion-price condition was met in Q2, making the notes convertible at holder option through 30 September; every one of the last 30 sessions of Q3 closed above the $12.285 trigger, so on my reading the window re-opens for the fourth quarter — a DERIVED claim the Q3 10-Q will confirm or correct. Through 6 August no holder had converted. See Gate 4 for why the capped call no longer neutralises this. [13] |

Read together, the stamp week was a DOVISH week — and that runs against the premise this report's Driver pillar is scored on [23] [8]. A 67.8% payrolls miss on the stamp day itself, private payrolls down 46% against forecast, unemployment ticking up to 4.2%, and core PCE below forecast on both measures [23]. Weakening employment alongside core inflation that is at least not accelerating year-on-year is the combination that ordinarily argues for cuts rather than hikes — that is a general proposition about reaction functions, not a sourced fact, and it is stated as mine. What IS sourced is the contrast: the frozen macro state this report reads has the Federal Reserve HIKING, with 16 of 18 participants expecting at least one more [8]. That state is dated 20 September. Every release in the table above post-dates it.
And the case against my own reading, which the table is built to show rather than bury. ADP, U-6, initial claims and Q2 GDP all cut the other way. ADP put September employment at 90k against a 70k forecast — a 28.6% BEAT, and 90k is exactly the figure the payrolls forecast carried, so the two September employment series disagree sharply about the same month and the one I lead on is not obviously the right one. U-6 underemployment IMPROVED to 7.6% while the headline rate ticked up. Initial claims stayed historically low and flat, and Q2 GDP beat by 46.7%. And on core PCE the LEVEL did not fall at all: year-on-year is unchanged at 3.0% and the monthly rate doubled from 0.1% to 0.2% — an earlier draft of this block called that disinflation, which it is not, and the Previous column is in the table above precisely so a reader can see the difference between 'below forecast' and 'falling'. A payrolls print that one other series contradicts is a reason to watch the 27 October FOMC, not a reason to re-score a pillar.
What this report does about that, and what it deliberately does not. It does NOT re-score the Driver pillar. The standing rule is that a single print moves probabilities and does not flip a regime, and the honest position is that one payrolls miss against a hiking Fed is a tension, not a reversal — the ten-year had not moved on it by the last FRED observation available at this stamp (5.24% at 1 October, unchanged from 28 September, and 2 October is not yet published). So the cost of equity stands at 11.74%. But the direction of the risk is now explicit: the Driver score of 37 and the 2.0pp risk add-on are the two places this report would be most wrong if the Fed is nearer the end of its tightening than the frozen state assumes, and both of those run AGAINST the name, so a dovish turn is the bull case this SELL is most exposed to. It is not in the bull card, because the bull card is the analyst median; it belongs here, beside the data that raised it. The next scheduled test is the 27-28 October FOMC, which falls inside this report's own review window.

The two LARGEST volume spikes are the April and July quarterly prints. 22 September is the seventh heaviest session of the 128 — 98.9m shares, 1.52x the 65.1m window mean and 2.23x the stamp session — and it is the SoFiUSD go-live day, which is why it is named at all. An earlier draft called it 'a third session' in a sentence whose subject is the two LARGEST, asserting a rank this chart's own data refutes by four places; the rank is derived now. The 29 July low of 14.88 on 193.6m shares is the 52-week low.
The market stops paying ahead of the returns and the equity converges on what the model says it is worth: the warranted 1.1367× on forward tangible book 7.5782 = $8.61. This is not a crash case — it is simply the anchor being right. It is also the §12 profit-target, which is why the thesis is complete there rather than at a lower price.
The competitive trigger, which this card is required to carry and an earlier draft omitted. The framework mandates one whenever the step-7c read is an elevated threat or a losing share trajectory, and this report records both. What would drive the bear case BEYOND the anchor: Chime continuing to take mass-market direct-deposit relationships, which is the deposit base the whole funding advantage rests on; or Capital One and Discover using post-merger scale to price consumer credit below SoFi's cost of funds. Either compresses the net interest margin from 42.5%-growth territory toward the sector's, and the moat sub-score of 52 — the weakest-evidenced in the Quality pillar — is what would move first.
A partial de-rating, and the target is derived from that rather than chosen: the midpoint between the market's 2.0810× and the warranted 1.1367× is 1.6088×, which on forward tangible book 7.5782 is $12.19. The return on tangible equity improves toward covering the cost of equity and the market concedes half the distance, not all of it.
The thin end of the analyst panel is right: the return on tangible equity reaches 15.03% as the FY2029 estimate implies — two places, because the warranted multiple below is struck on that exact figure and an earlier draft rounded it to 15% beside a §4 table publishing 1.4130× at a round 15.00%, so one named quantity carried two values. It takes the warranted multiple to 1.4176× and 1.7069× at 17%, and the name re-rates to the analyst median of $19.00. Note what this card does NOT claim: even at the 2029 panel's own terminal the ratio is 1.4680×, still inside the Expensive band, so this target is a re-rating the MODEL does not justify at any point on the analyst panel — it is the market's best case, not the anchor's. That is the case that requires believing four analysts over fourteen, and then some.
Probability-weighted $12.82 against a $15.77 close is -18.7% — a negative expected value, which is what a SELL means. The weights are 30/45/25 and sum to 100.
Forecast: → WHAT WOULD CHANGE THIS TO A HOLD
→ The ratio falling below 1.40×, which needs either a price near 12.06 or a terminal return on tangible equity of 15.51% rather than 13% — the Q3 print on 27 October is the first place that evidence can appear. That is sufficient on its own: the Full band scores 40-49, which the matrix reads as Fair, and Medium quality against Fair is a HOLD at any timing. Timing does not have to recover for the HOLD.
→ WHAT WOULD CHANGE IT TO A BUY
→ Much more than the above, and it is worth being plain about how much. A BUY at Quality 56 needs the valuation pillar at 65 or better, which this framework only awards BELOW 1.00× — the Attractive band at or under 0.80×, or the Attractive/Fair edge between 0.80× and 1.00× (SKILL L709-710). An earlier draft of THIS section called the whole sub-1.00 range 'the ATTRACTIVE band' while §4 two sections away had already withdrawn that label, and two fix logs asserted the sweep had reached here [21]. The threshold and the matrix column are band — a ratio under 1.00× — and a timing band of Improving (55+). Leaving Expensive is not enough; the Full and Fair bands both read HOLD. A ratio under 1.00× means a price at or below 8.61 — which is this report's own BEAR target, i.e. the de-rating completing — or a terminal return on tangible equity of about 19.38%, above anything the analyst panel carries at any depth. A close above the 50-day at 17.4544 on better-than-average volume would satisfy the TIMING leg alone, and on its own it changes nothing. An earlier draft of this line offered that close plus the HOLD conditions as sufficient for a BUY; run through the matrix it produces a HOLD, and publishing it as a BUY condition was wrong.
→ THE STOP
→ 14.92 — 1.33 times the 0.6390 average true range below the close, which sits between here and the 52-week low of 14.88.
You are risking 5.4% to the hard stop, and 45.4% in the bear case, to gain 20.5% in the bull.
What you are risking. The stop at $14.92 is 5.4% below here — 1.33 average true ranges, on a name already near its 52-week low. The bear path to $8.61 is the warranted multiple simply being right.
What you are playing for. The probability-weighted target is $12.82, -18.7% against the close. That is a negative expected value, which is the honest content of a SELL — not a prediction of collapse, just a worse-than-even bet at this price.
And what would make this wrong — which takes more than the bull case. Four analysts think the return on tangible equity reaches 15.03% by 2029. Grant them it entirely and the warranted multiple is 1.4176× against an actual 2.0810×, a ratio of 1.4680× — still EXPENSIVE, because the band runs to 1.40× and leaving it needs 15.51%. So the thin year does not move the call: Gate 3 still fires and the matrix still reads SELL. What would make this wrong is a terminal return above 15.51%, a price near 12.06, or a cost of equity below 10.17% — and the Fed is hiking, not cutting. An earlier draft of this paragraph said the 2029 case was worth one notch to a HOLD; that was computed on a 10.74% cost of equity, and the framework mandates 11.74% for a beta of 2.208.
You give up the bull case to avoid the bear one. Selling at $15.77 forgoes the 20.5% path to the analyst median of $19.00, which needs the terminal return on tangible equity to reach 15.03% — two places, because the warranted multiple is struck on that exact figure; an earlier draft of THIS column rounded it to 15% while its twin column two inches away had it right, which is the adjacency failure this run keeps producing. It is the implied terminal rate of the FY2029 consensus that 4 analysts carry [4]. The 14 who cover FY2027 publish no view on a perpetual rate at all, so they neither carry nor reject it — an earlier draft said they 'do not', which reads as disagreement where there is only silence.
What you avoid. The bear path to $8.61 is 45.4% below here, and it is not a crash scenario — it is the warranted multiple simply being right. On the published weights the probability-weighted outcome is $12.82, -18.7% against the close.
The honest caveat. This is a SELL on valuation and timing, not on the franchise. Net revenue grew 42.5% year on year and the company has printed eleven consecutive profitable quarters. If you hold it for the decade rather than the quarter, the question is whether you will sit through a de-rating the model says has further to run.
Position sizing. This is a SELL on a name the operator holds as a Donatien Pick, and the pick is Stopped — no BUY on any horizon. Stopped is a lifecycle state, not an instruction to sell at any price: the flag stays TRUE and the name reactivates automatically the moment a BUY appears on any horizon.
The risk-per-share arithmetic, which the heading promises and an earlier draft left out. Average true range is 0.6390, which is 4.05% of the $15.77 close. The §12 stop sits at $14.92, 1.33 average true ranges below it, so risk per share is 0.85 — 5.39% of the price. On the standard 1%-of-capital risk budget that implies about 1,176 shares per $100,000 of capital, roughly 18.5% of it at risk-equivalent size — and beta is 2.208, roughly twice the index, so that position carries about twice the market's volatility per dollar. No allocation percentage is recommended here. The portfolio-analyst sets allocations off the macro state; this report supplies the risk-per-share and volatility inputs it needs, and a SELL on a Stopped pick has no target weight to publish.

A pillar of 36 is what puts the Decision Matrix on the SELL row. An earlier draft scored it 44 on unmandated lens weights and the renderer did clamp that to 39. The ROUND-1 correction to the framework's mandated weights (0.40 anchor / 0.20 sector median / 0.15 decile / 0.10 PEG / 0.15 analyst) moved the raw build to 38.15 on the lens scores of the time, which already cleared the clamp; three surfaces of this report then went on describing the clamp as the live mechanism. The published 36.40 is a LATER and separate change — round 3 re-scored three lenses that had been publishing no figure at all (sector median 42 to 28, own-history decile 50 to 55, PEG 55 to 58). An earlier draft of this note credited the round-1 weight fix with the round-3 figure, which collapsed two different events into one history.",

ONE BASIS CHOICE STATED HERE RATHER THAN BURIED: SoFi's own Q2 reconciliation publishes tangible book of 9,470.220m and 7.34 a share, after adding back 45.536m of deferred tax liabilities it treats as related to the intangibles. This anchor deducts goodwill and intangibles GROSS and takes no add-back, which is 0.48% lower — a non-GAAP add-back resting on the company's own view of which liabilities are 'related' is not something an anchor should depend on. The direction is what matters: the stricter base makes the name MORE expensive, not less, and the band is Expensive on either. Tangible book per share is struck on tangible common equity of 9,424.684m from the balance sheet's own line items over its own period-end count of 1,290.3124m shares — NOT on a provider's per-share figure times a market-cap-derived count, which mixes a weighted-average denominator with a spot one and overstated the book by 12.4m. The 2026-09-12 report published 2.36x and called it forward while dividing by the TRAILING tangible book; that is the mixed-basis error the framework names, and both forms of it are corrected here rather than carried. One exposure this ratio does NOT carry: the 2029 convertible's conversion shares. Those notes settle cash up to principal and the capped call is breached at $14.54, so above that the excess settles in stock — roughly another half a per cent of the count at this price, on an indenture that averages over a 30-day observation window rather than a spot price. "Financial Distress (Gate 1) — TRIGGERED on arm (d), negative free cash flow for four or more quarters: 6 of the last eight quarters are negative on free cash flow and the longest consecutive run is 5, so the arm is met on either reading of the count. It is met because loan ORIGINATIONS run through operating cash flow for a lender, so a growing book mechanically produces negative free cash flow — the measure is the wrong instrument for a deposit-funded bank, and the applicable test is regulatory capital, where CET1 of 18.7% and eleven consecutive profitable quarters say the opposite. That reasoning is a SECTOR carve-out and belongs in the framework rather than in one company's report, so the gate is recorded TRIGGERED and the carve-out is filed as improvement debt GATE1-FCF-BANK. The cap binds nothing: gates cap at HOLD and can never raise, and the base matrix already reads SELL on all three horizons.",

CARRIED from the 2026-09-12 calibration, where a Layer-2 auditor had put it after an earlier draft of THAT report read Note 9 of the same filing closely and did not read Item 1A. UPDATED for this run with the fact the prior report could not have had: on 22 September 2026 SoFiUSD went LIVE for card settlement across Mastercard's global network — the first bank-issued stablecoin to do so, over MORE THAN US$25bn of ANNUALISED card volume migrating gradually. It earns no pillar credit (too new to score, and no revenue or fee figure is published) and is carried as a Gate 5 risk-surface caution. AND, NEW this run and omitted from an earlier draft entirely, the SoFiUSD stablecoin: Item 1A of the Q2 10-Q adds it as a risk factor, with the company itself flagging regulatory, operational, liquidity, technological and reputational risk under an evolving GENIUS Act framework, and on 22 September 2026 it went LIVE for card settlement across Mastercard's global network over a book published as MORE THAN US$25bn of ANNUALISED volume — a floor, not a central estimate. The instrument is not FDIC-insured and it runs on public chains, and Item 1A carries one concrete obligation rather than only a list of risk categories: the GENIUS Act REQUIRES SoFi to establish and migrate SoFiUSD to a SEPARATELY licensed or regulated entity, with no timetable or cost disclosed. A regulated deposit-taker issuing and settling in its own stablecoin is a real change in the risk surface, which is why it is carried here rather than scored in a pillar; it earns no Quality credit at ten days of production. CARRIED FORWARD and re-verified: every one of those figures ties to the Q2 10-Q exactly. RE-ADJUDICATED on the instrument, and the re-adjudication is now NARROWER than an earlier draft's. That draft said the ten-year is the wrong benchmark because 'the company discloses the benchmark as TWO-YEAR SOFR for personal loans and four-year SOFR for student loans', and built a derived personal-loan mark of about 103.6-103.8% at 30 September on a 73bp move in two-year SOFR at roughly 1:1 pass-through. ALL OF THAT IS WITHDRAWN. The Q2 10-Q names NO TENOR: it says the discount rate 'is primarily determined based on an underlying benchmark rate curve and spread(s)', and the only SOFR tenors it mentions anywhere are overnight and one-month, for variable-rate DEBT rather than for the loan book. So the prior report's ten-year framing was unsupported and this run replaced it with an equally unsupported two-year one. What the filing DOES disclose stands and is enough for a caution: the weighted-average discount rate on personal loans rose 4.61% to 4.97% over the quarter while the assumed default rate rose 4.57% to 4.77% and the weighted-average coupon slipped 12.96% to 12.89%. The DIRECTION of the next move cannot be estimated without a disclosed tenor, so no forward mark is published and the Q3 10-Q on 27 October is the only resolution. Recording it matters more here than it would elsewhere, because the Expensive half of this arm IS met: the catalyst half is the only thing standing between this report and a hard DO NOT BUY, and leaving half of it unexamined left the strongest available objection to this report's own call unanswered on the record. A conjunctive arm fails on either half; this one fails on the catalyst, on BOTH limbs.<br><strong>Relative arm:</strong> fires in the top decile of the name's own five-year range with no corresponding growth acceleration. The multiple sits at the 35th percentile of twenty quarter-ends — decile 4, not the tenth — and 27th on the post-profitability window. NOT MET on the first condition, so the growth test is not reached. [[src:own-history]]<br><strong>Net:</strong> no arm fires, and the margin on arm (a) limb one is the one worth watching — it is the only arm within reach of a single quarter's move.",
"trigger_3_falling_estimates": "Trigger 3 — NOT MET. Forward estimates are RISING, not falling: FY2027 EPS 0.82199 against FY2026 0.59137, and net income 1,048.0m against 734.1m. The de-rating is a multiple event, not an earnings one.",
"trigger_4_insider_selling": "Trigger 4 — NOT MET, and the reason is specific rather than a shrug. Nine Form 4s and seven Form 144s inside eight days reads as a wall of insider selling. Parsed per transaction from the EDGAR XML it is a scheduled vesting event: 384,392 shares (0.0298% of shares outstanding) are transaction code F — shares withheld BY THE COMPANY to pay tax on a vest, which is not a sale and includes ALL 188,259 of chief executive Anthony Noto's. The only open-market sales are code S: 28,827 shares, 0.0022% of the company, being Keough 10,203 at 16.9862 and Rishel 18,624 at 17.50 — and BOTH carry a 10b5-1 footnote. The seven Form 144s are the notices that accompany those plans.",
"trigger_5_structural_business_model_threat": "Trigger 5 — NOT MET, and adjudicated against the SKILL's OWN test rather than the special-situation test an earlier draft of this field answered. The test (SKILL L1543) is a credible EXISTENTIAL threat not yet priced in — a regulatory ban on the core product, a major patent invalidation, technological disruption making the core offering obsolete — flagged as an Analyst Override, and it is qualitative by design. Answered on the evidence this report already carries, including the two fields an earlier draft never engaged: competitive threat level is recorded ELEVATED and share trajectory LOSING [[src:audit-trail]], and §11's bear card states both. That is COMPETITIVE EROSION, not an existential threat, and the distinction is the whole of the judgement: Chime takes mass-market deposit share and Capital One and Discover fund more cheaply, which compresses the spread this franchise earns — it does not ban lending, invalidate a patent, or make a bank charter obsolete. The core product is regulated, not prohibited; the national charter is an asset under that regulation rather than a liability. The one genuinely NEW regulatory obligation in the window runs the same way: the GENIUS Act requires SoFiUSD to be moved to a separately licensed entity [[src:sofiusd]], which is a compliance cost on a ten-day-old product, not a threat to the lending business. So the trigger does not fire, and the valuation it would otherwise override is instead capped by Gate 3. For the record, because it is what the old field actually tested and it IS true: there is no merger, no going-private and no binary regulatory event either — the corporate-action check returned nothing, every one of the 16 filings since the prior report being a Form 4 or a Form 144 [[src:edgar]]. That answer is kept and relabelled rather than deleted, because it is the Gate 5 question and Gate 5 is where it belongs."

The base is the midpoint of the market and warranted multiples, derived rather than chosen. The bull case is the ANALYST MEDIAN 19.00, and it is the one leg of the ladder that is NOT anchor-derived — which is worth saying plainly because it cuts against this report's own call. At its own stated 15.03% terminal return — two places, the SAME figure §11's bull card is struck on, because an earlier version of this field used a rounded 15.00% and published a warranted multiple and an anchor-derived bull that §11 contradicted, one named quantity carrying two values — the warranted multiple is 1.4176x, so 19.00 is still a ratio of 1.77 — Expensive even on the bull's own assumptions. An anchor-derived bull at that terminal return would be 10.74 and would take the probability-weighted target to about 10.75, -31.8% rather than -18.7%. The analyst median is used because a bull case ought to be the market's best honest argument rather than the model's, and using it makes the published expected value LESS negative — the conservative direction for a SELL is to keep the bull generous.",

The date earns its place rather than just falling out of the ceiling, because the $428.0m convertible matures on 15 October, the day before. So the re-read lands on the first session after a dated liquidity event. The event that decides the call is the Q3 2026 print on TUESDAY 27 OCTOBER 2026, eleven days later: it is the first place evidence about the terminal return on tangible equity can appear, and the first disclosure of the Q3 fair-value marks. An earlier draft of this field put that print in early November, inferred from the filing pattern rather than read from the company's own 29 September release. "why": "The old basis multiplied FMP's tangibleBookValuePerShareTTM by a market-cap-derived share count. That mixes denominators, and the mix is provable to the share: tangible common equity of 9,424.684m divided by FMP's per-share figure returns exactly the Q2 weighted-average BASIC count of 1,284,303.0 thousand, so the per-share figure was struck on a weighted average and multiplied back by a spot count. Both inputs were right; the product was wrong by 12.4m of book. The anchor now takes tangible common equity from the balance sheet's own line items over its own period-end share count. The correction makes the name slightly MORE expensive, not less."

The bear and bull targets were both already derived, so the hand-typed base was the only figure in the ladder its own stated basis did not produce. "why": "The WITHDRAWN 2.006342 was numerically IDENTICAL to the single-input terminal-return-at-11% row of the published sensitivity table — one input wearing a three-input label, with the other two merely asserted to 'push there'. It also used 11% when the declared adverse end of that range is 10%. "why": "Solving the thresholds instead of estimating them reversed one of this report's own claims: the cost of equity leaves Expensive 157bp below the scored rate, inside the range tested, so TWO inputs can move the band alone rather than one. The derived fragility block beside the table already reported that same input covering more than the whole gap. And 'Fair' is a band that does not begin until 1.00 — the 1.20-1.40 band is Full. The labels are derived from one function now so they cannot drift."

Warranted falls to 0.6441x and the ratio rises to 3.2311x. An earlier draft declared this as 2.006342, which was numerically IDENTICAL to the single-input terminal-return-at-11% row of the sensitivity table — a one-input case wearing a three-input label, with the other two merely asserted to 'push there'. It also used 11% when the declared adverse end of that range is 10%. The anchor is nonlinear in all three, so this is a re-run and not a sum. The FAVOURABLE case, declared alongside it because the ratio is in the outermost band and the improving direction is the only one with an edge to measure against: terminal return at the top of the range (17%), cost of equity a point lower at 10.74%, FY2027 net income at the panel high of US$1,117.9m gives warranted 2.0254x and a ratio of 1.0274 — which is the Fair band — out of Expensive, and 2 band edges below it. So the honest statement is that this valuation is NOT robust. What it is NOT is a BUY case: that band caps the valuation pillar at 64 and the matrix returns HOLD even with timing recovered. An earlier version of this field said Attractive and three edges, which was true at round 3's 0.8550 ratio and was not re-derived when round 5's add-on correction moved it back across the 1.00 edge. What makes the SELL stand is not that the anchor is unshakeable, it is that every input would have to break favourably at once, and the two best-covered forward years say otherwise."

Calling it a quality add-on read as mandated by a band that gives half of it. It serves two roles: the hurdle that residual income is measured against, and the rate that income is discounted at. Those are the same cost in two roles, which is how residual income works, not a double deduction. The terminal assumes 3% growth at a 13% return, which implies a payout of 76.9%. There is no modelled transition: the jump is at the terminal boundary. That is the standard simplification and it FLATTERS the warranted multiple, because full retention through stage 1 compounds a book the terminal then values at a lower growth rate. The magnitude: a payout-coherent terminal — the final explicit year's residual income grown at g, rather than the spread re-struck on a fully retained book — gives a warranted 1.1240x against the published 1.1367x and a ratio of 1.8514 against 1.8308. So the simplification is worth 1.13% on the warranted multiple and the band is EXPENSIVE either way — it moves the name AGAINST itself, not for itself, which is why the published figure is the conservative one to keep. Most of the twenty-six are genuinely invariant (ticker, exchange, currency, sector, company) or are re-derived to the same answer, which is not the same thing as carried; but `moat_score` was neither, and it is the reason this note is rewritten. "absence_note": "All EIGHT searches above are CLOSED-WORLD, and the counts here are DERIVED from the list rather than typed beside it: FIVE ask whether this report's own rendered page contains a string it must not, and THREE ask what the prior reports on disk do and do not contain. Two earlier versions of this sentence were wrong by one in opposite directions — one said four when seven were declared, the next said SEVEN and 'four plus three' after an eighth had been added at round 10, which `verify_absence` contradicted on the same build by printing its own count [[src:audit-trail]]. A hand-typed count describing a machine-enumerable list, inside the block whose job is to narrate exactly that failure. Either way the artifact can answer, and the script re-runs every one on each build rather than trusting a fix note.\nAN EARLIER DRAFT OF THIS FIELD UNDERCOUNTED THE OPEN-WORLD CLAIMS AND SAID SO EXPLICITLY. It stated that the report makes 'three negative existence claims' and that 'all three' were documented in the Data Sources audit. The real count is TWELVE, and five of them — the ones carried in the gate cautions — had no declared source at all when round 3 read the report, which is the exact failure mode the open-world class exists to prevent: the author's own search is the only evidence, so an undeclared search is indistinguishable from no search. Every one now names a source, and the two new source rows exist for this purpose:\n [[src:edgar]] — no corporate action in the 16 filings since the prior report.\n [[src:news]] — WITHDRAWN, and it is left here rather than deleted because the withdrawal is the point: this used to read 'no company-specific news catalyst in the 30-day window', which was an inference from a five-item feed pull and was FALSE. Three declared sources contradict it — [[src:sofiusd]] (the 22 September SoFiUSD settlement go-live), [[src:citizens]] (a RICO complaint filed about 9 September) and [[src:q3date]] (a 29 September release). What [[src:news]] supports is only that the five items IT returned are not catalysts, and it is cited for nothing more. A feed pull is evidence about the feed.\n [[src:form4s]] — no material discretionary insider selling (code F is a tax withholding, not a sale).\n [[src:mw]] — no fourth Muddy Waters instalment, checked at the short seller's own publication registry rather than inferred from a news scan.\n [[src:sec-absence]] — the five dated EDGAR absences over the FULL submissions history: no SEC comment letter since 17 Dec 2024, no 10-K/A or 10-Q/A since 2 May 2022, no 8-K item 4.01/4.02, no NT 10-Q since 2021, and no 8-K or registration filing in the stamp window. The same row records the CAVEAT that defeats a sixth claim: a clean 8-K record does NOT establish that the US$428.0m convertible is untouched, because SoFi's prior repurchases of it were privately negotiated and disclosed only in the following 10-Q. It also records what could NOT be checked — the Stanford class-action clearinghouse returned HTTP 403.\nverify_absence covers the closed-world case, where a specific document can be re-read; it is the wrong tool for these, and naming the source is the discipline that applies instead.",

This run uses a two-stage RESIDUAL-INCOME model instead, giving 1.1367x and a ratio of 1.8308. The reason: the single-stage form assumes the return on tangible equity is ALREADY at its sustainable level, and SoFi's is not — 10.12% in 2027 against a 11.74% cost of equity, still climbing — so the Gordon form would price a transition that has not happened as though it had. The two-stage form is the MORE GENEROUS of the two, by -0.7% on the warranted multiple. The band is EXPENSIVE on both (1.8308 here, 1.8188 on the prior form), so the call does not depend on the change.",

The prior report asked for a second look BECAUSE the ten-year was rising. The explicit path now runs FY2027 (14 analysts) and FY2028 (11) and ramps to the terminal by 2031, with FY2029 used as corroboration only. Warranted changed from the withdrawn 1.4050 to 1.3429, and the ratio changed from the withdrawn 1.48 to 1.5486, i.e. AGAINST the call. BLOCKER 2: seven raw template placeholders shipped because doubled braces inside an f-string collapse to single ones; the figure that decides the call was missing from section 4 entirely, the garbled text had propagated into the live watchlist and the frozen decision lock, and section 11 printed a raw Python dict. MAJORS: the framework's mandated valuation lens weights applied, moving the pillar 39 to 38; the 1.20-1.40 band relabelled Full and derived by a function so the label cannot drift; Gate 1's five arms each answered individually rather than the gate cleared on one; a valuation_model block declared so model_integrity would run on it at all; the carry block declared; six dropped fields restored; and the anchor basis change from the prior report's single-stage Gordon form declared.",
"audit_route_note": "Round 1: a FRESH general-purpose agent (never a fork) — A fresh general-purpose agent, not a fork, per the standing rule that the independent auditor is never a fork.. Verdict FAIL (2 blockers, 7 majors, 8 minors). Round 2: a FRESH general-purpose agent (never a fork) — Round 2 was a fresh general-purpose agent against the frozen artifact. It re-derived the anchor from the published sensitivity column and reproduced every row to within 0.0002, which is how it PROVED round 1's two blockers genuinely fixed rather than taking the fix note's word for it. Round 3 goes to another fresh agent: this round changed the anchor's denominator basis, the base-case target, Gate 1's state and a dozen machine fields, so a round-3 auditor reads a materially different artifact.. Verdict FAIL (4 blockers, 11 majors, 8 minors). Round 3: a FRESH general-purpose agent (never a fork) — A fresh general-purpose agent against the frozen artifact. It re-derived both pillar builds and reproduced every sensitivity row, and its pattern note is the finding that matters most: eleven of its eighteen blockers and majors were ONE SURFACE of a multi-surface fix. Round 4 goes to another fresh agent.. Verdict FAIL (6 blockers, 12 majors, 8 minors). Round 4: a FRESH general-purpose agent (never a fork) — A fresh general-purpose agent against the frozen artifact. It verified the freeze both ways, re-derived the anchor and both pillar builds independently, reproduced all four FDIC figures from the primary PDF, reproduced every peer multiple from the declared formula, confirmed the ALLY hand correction was right, and confirmed that both matrix claims round 3 found FALSE are now true. It also disclosed that running the census overwrote the census file and that it restored it byte-for-byte, which is the right way to handle an accidental write to a frozen artifact. Round 5 goes to another fresh agent.. Verdict FAIL (1 blocker, 13 majors, 3 minors). Round 5: a FRESH general-purpose agent (never a fork) — A fresh general-purpose agent against the frozen artifact. It independently found the risk-add-on defect (B1) and proved it from precedent rather than from the parse — both prior reports on this name, plus LUNR and ERO.TO. It also disclosed that the calibration was mutated mid-session and that it restored it from git: the cause was mine, introspecting the builder with importlib.exec_module, which re-runs the module including its two write_text calls. A SOFI_BUILD_DRYRUN guard now makes that impossible. Round 6 goes to another fresh agent.. Verdict FAIL (4 blockers, 8 majors, 6 minors). Round 6: a FRESH general-purpose agent (never a fork) — A fresh general-purpose agent against the frozen artifact. It ran read-only throughout and said so: claim_census with --out to a scratchpad path, lint --receipt against a copy, the builder only under SOFI_BUILD_DRYRUN, build_watchlist --check only, and it verified the watchlist hash unchanged before and after. It re-implemented the two-stage residual-income model from the published inputs alone - no builder import, no spec - and reproduced every sensitivity row, both solved band edges, both pillar builds, all three composites and the FY2029 boundary exactly. Its verdict on the arithmetic was that the numbers are now sound and what fails is propagation and the claims-about-artifacts class. Round 7 goes to another fresh agent.. Verdict FAIL (3 blockers, 2 majors, 4 minors). Round 7: a FRESH general-purpose agent (never a fork) — A fresh general-purpose agent against the frozen artifact, read-only throughout and explicit about how. It re-implemented the two-stage model from the Q2 line items alone and reproduced every figure, then went further than any prior round by checking the report against PRIMARY PDFs still in its session cache: the FDIC Q2-2026 Quarterly Banking Profile, the Muddy Waters 17 March report (all four allegation figures exact) and the SoFi Q2-2026 release. It confirmed 9,424.684 divided by FMP's per-share figure returns the Q2 basic weighted count to the share. Round 8 goes to another fresh agent.. Verdict FAIL (1 blocker, 7 majors, 4 minors). Round 8: a FRESH general-purpose agent (never a fork) — A fresh general-purpose agent against the frozen artifact, read-only throughout and explicit about how. It reproduced the whole anchor and both pillar builds again, and its finding that matters most is structural rather than numeric: THREE of its four blockers were created or missed by round 7 itself. It also disclosed what it did NOT run - no web searches, so the live-status re-verification of three \"X is holding\" claims is unrun - which is the right way to report incomplete coverage. Round 9 goes to another fresh agent.. Verdict FAIL (4 blockers, 4 majors, 2 minors). Round 9: a FRESH general-purpose agent (never a fork) — A fresh general-purpose agent against the frozen artifact. It judged the arithmetic sound for the fourth consecutive round and spent its effort on propagation instead, which produced the diagnosis this run needed: every blocker from round 6 onwards has been \"a derived value and a hard-typed restatement of it drifting apart\". That is a structural finding, not a list of defects, and it has been answered structurally — the two restatements that drifted are now DERIVED from the framework's own band ladder and matrix via _edges_crossed() and _signal_at_ratio(), so a future change to the ratio cannot leave a hand-typed sentence behind. One of its seven majors was recorded at the time as REFUTED by test rather than fixed: the auditor counted the stamp-week macro releases and got a different number, and I answered that the frozen econ-calendar payload carried a total of sixteen. THAT REFUTATION WAS ITSELF THE DEFECT AND ROUND 12 WITHDREW IT IN FULL: the total I quoted came from a call whose window was not the window the note describes, and a payload total is not a filtered count of that window. Re-run on 2026-09-26 to 2026-10-02 at high impact the answer is FIFTEEN, the auditor was right, and the row I claimed they had omitted is not in the high-impact set at all. Recorded here rather than quietly dropped, because this entry is what a later reader checks the claim against. Round 10 goes to another fresh agent: this round changed the restatement machinery, restored two dropped calibration detail dicts, and added a Previous column to the section-8 release table, so a round-10 auditor reads a materially different artifact.. Verdict FAIL (2 blockers, 7 majors, 2 minors). Round 10: a FRESH general-purpose agent (never a fork) — A fresh general-purpose agent against the frozen artifact, and the most productive round of the run: FAIL on 7 blockers, 4 majors, 4 minors, with every finding re-derived from first principles rather than from the report's assertion. It also CLOSED the hole round 8 left open — round 8's own route note recorded that it ran no web searches, so three live-status claims were unverified; this auditor ran them and every one survived independent search, including the Citizens RICO docket detail, the absence of a filed securities complaint behind the Block & Leviton investigation, and the absence of a fourth Muddy Waters instalment. Its central finding is one this run had not reached: five of its seven blockers sit on the §15 data_sources notes and the calibration string fields, which is the surface round 9's diagnosis named and did not look at. B3 is the one that matters most and is not a string repair at all — a material, dated, in-window catalyst that BOTH prior reports on this name carry and this one had dropped entirely, along with the machine field that held it. Round 11 goes to a FRESH agent rather than back to this one: B3's fix adds a declared source, a restored calibration field, a Gate 5 caution, a moat disposition and four new body passages, and the band ladder itself was split at 0.80 per the SKILL, so a returning auditor would be re-reading a materially different artifact on the strength of a map it no longer matches.. Verdict FAIL (7 blockers, 4 majors, 4 minors). Round 11: a FRESH general-purpose agent (never a fork) — A fresh general-purpose agent against the frozen artifact. Its B0 is a finding about MY process and it is upheld without qualification: I rebuilt the frozen artifact WHILE this auditor was reading it, because I dispatched a Layer-0.5 pass alongside it and then acted on the Layer-0.5 findings mid-round. One of its own findings (M1, the unnamed second Item 1A addition) was closed under it by that rebuild, which is exactly the condition that makes a blocker-free pass unmeasurable. It also disclosed what it did NOT do — never ran the builder, not even under the dry-run guard, never ran the census, ran lint without --receipt — and proved the briefed artifact was git HEAD byte-for-byte. Standing change: auditors may be dispatched in parallel, but the artifact is frozen until EVERY live auditor has returned. Four of its five blockers are one class, the same one round 9 diagnosed and round 10 answered only where it was pointed: a derived value and a hand-typed restatement drifting apart. All four are now computed from the structure they describe — matched relative-strength base dates with an assert, the coverage year solved against the hurdle, the Gate 5 addition count derived from its own list, and Trigger 5 keyed and adjudicated on the SKILL's actual test. Round 12 goes to another fresh agent: the relative-strength figures, the coverage year, the Gate 5 card, the Trigger 5 record and the sensitivity table have all changed, and it reads a materially different document.. Verdict FAIL (5 blockers, 2 majors, 3 minors). Round 12: a FRESH general-purpose agent (never a fork) — A fresh general-purpose agent against a frozen artifact that STAYED frozen — the first round of this run where the auditor and the fix round did not overlap, which is what round 11's B0 demanded. FAIL on 3 blockers, 5 majors, 3 minors, down from 7 and 5, and it closed the largest unverified surface on the report: the FDIC industry-benchmark card, which carries 0.18 of Quality and which round 11 had explicitly flagged as taken on trust. It pulled the primary Quarterly Banking Profile Table III-A and confirmed all four figures, both institution counts AND the \"(annualized)\" heading the whole third-mismatch argument rests on, then checked Table IV-A to prove the report is on the right table. It also refuted a tool the audit brief points auditors at: stale_text --carried returns ONE field where 26 top-level scalars are byte-identical to the prior run, which is how its own M3 — moat_score carried at 60 while both inputs feeding it flipped adverse — stayed invisible for eleven rounds. Round 13 goes to a FRESH agent rather than back to this one: moat and Quality both moved on new evidence, the relative-strength basis, the coverage year, the Gate 1 arm letters and the SOFR tenor claim all changed, and the sensitivity table gained a row.. Verdict FAIL (3 blockers, 5 majors, 3 minors). Round 13: a FRESH general-purpose agent (never a fork) — A fresh general-purpose agent against a frozen artifact, run alongside Layer 0.5 pass 8 with the artifact held still until BOTH returned. FAIL on 3 blockers, 4 majors, 0 minors — and all three blockers sit in the audit-trail fields report-audit.md L232 calls stale BY CONSTRUCTION, with one mechanical cause this round isolated exactly: round 12 moved moat_score 60 to 52, quality_score 57 to 56 and the Gate 1 free-cash-flow arm letter, and declared NONE of the three old values in superseded_values. So a 101-value sweep returned zero survivals while four live surfaces published the old moat score, including the SECTION 11 BEAR CARD, which reasoned forward from a deterioration this report's own carry_provenance records as already fired. It also proved the section-14 embed byte-equivalent to the calibration across 190 of 195 keys, re-derived the Quality build leg by leg, confirmed 52 defensible on the evidence, confirmed the SOFR withdrawal complete, and WITHDREW its own initial finding on the section-10 volume figures after checking them against published_figures — which is the behaviour this role is for. Round 14 goes to a FRESH agent: section 3's Competitive Environment block and section 11's bear card are both substantially rewritten, the moat evidence has been re-grounded on the segment's own lines after pass 8 found the earlier figure was the wrong line under the broad line's name, and the econcal count is restored to sixteen.. Verdict FAIL (3 blockers, 4 majors, 0 minors).",
"post_audit_fixes_round2": "B1 all five of the prior report's gates_caution entries now carry an explicit disposition and carried_gates_note states each one; three had been dropped while the note asserted none were. B2 the 428.0m convertible maturing 15 Oct 2026 is disclosed in section 8 as a dated event 13 days after the stamp, with the 862.5m 2029 note and its breached 14.54 capped call added at Gate 4. B3 derive_fragility no longer splices its crash-guard placeholders into prose and now labels the distance with its declared unit; the auditor's UNIT diagnosis was tested and REFUTED - nav_total over nav_divisor_shares is the correct pairing for a script that rescales by 1e6, and it was my nav_basis_note sentence that was false, not the computation. B4 section 11's cards rendered blank because the spec supplied name/prob/target/move where the renderer reads type/head/text; the renderer now refuses an unknown or defaulted scenario key. M1 band labels derive from one function and both band-edge thresholds are SOLVED, which reversed this report's own claim that only one input could move the band - the cost of equity leaves Expensive 56bp below the scored rate, inside the range tested. M2 the clamp-to-39 narrative is withdrawn at all three surfaces; the lens build lands at 38.15 inside the band so no clamp operated. M3 the simultaneous case is a genuine three-input re-run rather than a relabelled single-input row, with a favourable case declared too because the ratio sits in the outermost band. M4 the rote-terminal span derives from the same function as the table. M5 model_integrity now emits a COULD-NOT-RUN receipt per inert arm, and model_required recognises the excess-return family - which is why it reported not-applicable on a two-stage model; separately the cost of equity is demoted from a term to a parameter, because a percentage was being subtracted from a sum of US millions. M6 Gate 5 recorded in gates_caution. M7 the triple-brace token fixed. M8 the banner's next-update fields supplied where the renderer reads them. M9 the base target is DERIVED from the halfway basis its own prose claims. M10 Gate 1's free-cash-flow arm -- which this log and seven other surfaces called (c) until round 12 corrected the letters against SKILL L1266-1270, where the FCF arm is (d) and (c) is the current-ratio arm -- is COUNTED from quarterly free cash flow, 6 of 8 quarters negative and longest run 5, recorded MET and the gate TRIGGERED, with the lender carve-out filed as improvement debt GATE1-FCF-BANK rather than granted per-report. M11 this trail. Minors: the withdrawn metric-warn class was undefined and left three band cells unstyled and the renderer now refuses an undefined metric class; the ten-year is 5.24 not the 10.74 cost of equity at Gate 6; payout_coherence is measured at 2.04% and declared as a fragility input; g_near is a growth rate not a return. NOT FROM THE AUDITOR: the anchor's tangible-book basis was MIXED - FMP's per-share figure was struck on the Q2 weighted-average basic count and multiplied back by a market-cap-derived spot count, provable because tangible common equity of 9,424.684m divided by it returns 1,284,303.0 thousand exactly. Tangible common equity now comes from the balance sheet's own line items over its own period-end count, the share creep is measured and pro-rated to six months, and the Q3 earnings date is 27 October 2026 per the company's own release; the withdrawn 'early November' was inferred from the filing pattern and was wrong.",
"post_audit_fixes_round3": "B1 the section 2 roll-up still said \"One gate TRIGGERED\" with TWO triggered; the counts are now DERIVED from the gate cards, and the gates_caution array three hundred lines away already carried a comment recording this same failure from round 2 on Gate 5. B2 the claim that leaving the Expensive band \"does not by itself make the name a HOLD\" was FALSE at three surfaces: running the framework's own _band_v and _base_signal shows a ratio under 1.40x is the Full band, whose mandated 40-49 range is the matrix's Fair column, and Medium quality against Fair is a HOLD at ANY timing. My own round-2 \"correction\" had reversed a TRUE statement into a false one and published it as this report's honest boundary, having accused the first draft of asserting a HOLD without running the matrix and then asserted the negative without running it either. B3 the section 12 BUY condition was false for the same reason: a BUY at Quality 62 needs the ATTRACTIVE band (ratio under 1.00, i.e. a price at or below 10.17, which is this report's own BEAR target) AND Improving timing, not the HOLD conditions plus a 50-day close. Both thresholds are now solved constants. B4 the Muddy Waters accounting allegation existed ONLY inside the section 14 JSON while Gate 2 published \"Clean\" uncaveated; Gate 2 is now a caution, clean on COMPOSITION and explicit that an income-statement decomposition cannot adjudicate a claim that the reported number itself is overstated. B5 seven \"RE-VERIFIED against primary sources\" absences had NO declared source, and absence_note affirmatively claimed the report made only three open-world claims when the real count is twelve; two source rows added for the short-seller's own publication registry and the full EDGAR submissions history, each recording the dates checked, the caveat that defeats the convertible claim, and what could not be checked at all. B6 prior_report had been dropped so normalize_calibration --check failed on disk while carry_provenance asserted a working carry block. M1 the withdrawn 11%-terminal \"simultaneous\" claim was still asserted two sentences above the paragraph withdrawing it. M2 the favourable simultaneous case (ratio 0.8550, ATTRACTIVE) and the generator's NOT ROBUST verdict never reached the body, while the body claimed a one-sidedness the generator deliberately declines to assert. M3 Expensive/Full, not Expensive/Fair. M4 and M5 are the two missing mandated lenses, closed in a second pass once peer and FDIC data were gathered. M6 the multi-timeframe lens now uses the SKILL's mandated intraday fallback weights of 35/30/35 instead of keeping five-timeframe weights for three timeframes and inventing two legs to absorb the remaining 20 per cent. M7 the measured 0.585% share creep at every surface. M8 \"inside fifteen months\" described maturities 13 days and 29 months out. M9 wrote the section 4 liquidity note that section 8 pointed readers to and that did not exist. M10 Gate 1 cited a five-quarter run spanning a quarter it did not print; all ten are printed now. M11 the bank P/TBV guardrail RAN AND PASSED, and the root cause was a lint tokenisation gap in which \"price-to-tangible-book\" matched none of the five P/TBV tokens, so the arm could not see the anchor it was looking straight at and the report declared a \"confirmed N/A\" over the gap. M12 exit_action, exit_groups_live and nonop_pct_of_net_income restored. Minors: the WITHDRAWN metric-warn class was undefined and left three band cells unstyled; the ten-year is 5.24 and not the 10.74 cost of equity at Gate 6; payout_coherence measured at 2.04% and declared as a fragility input; g_near is a growth rate and not a return.",
"post_audit_fixes_round4": "B1 ROUND 3 WAS NEVER CLOSED. audit_rounds_total said 2 after three rounds had run, post_audit_fixes_round3 was absent, audit_route_note ended \"Round 3 goes to another fresh agent\" with no verdict, and no superseded_values entry carried withdrawn_at_round 3 — so nothing in the stack could verify that round 3's eighteen fixes had reached the artifact. All four rounds are now closed in sequence and every round-3 and round-4 withdrawal is tagged. M1 the delta_vs_prior tail still read \"Q62 V38 T34 D37 E42 unchanged\" against published scores of 57 and 36, contradicting the same field's own opening line. M2 the Quality weight column printed to two places, so seven published weights summed to 0.98 and a reader recomputing the table got 55.76 against a printed 57.01; three places now, with the column total shown and the uniform rescale explained. M3 the analyst-consensus lens — 15% of the pillar — published no figure at all, under a heading promising four lenses and a sentence saying three; it now publishes the median, the mean, the range, the 4/5/12/2/2 distribution and why a +20% median upside alongside a 2.68 recommendation mean scores 45 rather than higher. M4 the own-history lens's stated defence argued the WRONG DIRECTION: it marked the lens down because the early years are a loss-making SPAC-era company, but stripping exactly those readings is what the modern window does and it puts the name CHEAPER, at the 27th percentile against 35th. The real reason is that a company that has never earned its cost of equity has no justified multiple in its own history to be cheap against. M5 \"consolidated on both sides\" was FALSE and contradicted the same paragraph two sentences earlier: the FDIC row is bank-entity Call Report data while SoFi's is consolidated holdco, which WIDENS the gap and flatters this SELL — and a third mismatch was undeclared, the FDIC ratios being a single quarter annualised against SoFi's TTM, which flatters the name instead. Both surfaces now carry it, the section 3 card and the section 15 source row. M6 the ROE of 6.63% was hard-typed with no numerator, no denominator and no source, in a card stating both figures are derived from reported lines; it is now computed from a declared five-quarter equity series, with the END-equity and Q2-annualised alternatives published beside it because they disagree by about 0.9pp. M7 \"Four names excluded\" while SEVEN were, and the two omitted had the HIGHEST multiples in the set — the exact objection that sentence was written to defeat. All seven are listed, highest first, with the inclusion criterion stated and the note that including the omitted two would RAISE the median and shrink the apparent premium. M8 two different own-history medians on one page: the WITHDRAWN 2.467 against 2.462, because one was a hand-written index into a sorted list while a correct median helper already existed in the same file. M9 Gate 4 still printed a hard-typed \"1% share creep\" against the derived 0.585% that every other surface carries. M10 clean_peg carried 0.492 on a single-year growth rate while section 4 published 0.59 on the two-year CAGR — and clean_peg is the field the publisher, the results page and the finder read. One value now, with the near-term variant kept under its own name. M11 val_band_note credited the round-1 weight correction with 36.40, which is round 3's figure; round 1 produced 38.15, as superseded_detail on the same page says. M12 no Layer-0.5 cite receipt existed, and the census on disk had been generated without the spec so it carried zero source definitions to resolve its 35 cite ids against. Minors: three band edges and not two; the Q2 net revenue denominator derived rather than retyped; dollars and not pounds for a US bank.",
"post_audit_fixes_round5": "B1 THE DISCOUNT RATE. The add-on was taken off the quality band alone (+1.0pp at Quality 57) and beta was never tested. SKILL L670 puts the beta/micro-cap clause in the +2.0pp bucket, so a beta over 1.6 takes the top tier whatever the band says, and this report publishes beta 2.208 at Gate 6 and in the Driver pillar - in the same sentence as the 10.74%. The precedent settles it: BOTH prior SOFI reports carry risk_addon_pp 2.0 at Quality 64, inside the 40-64 band where the quality tier gives 1.0, with bases naming the beta clause explicitly; LUNR and ERO.TO are the same pattern. The add-on is now DERIVED from a function implementing the rule, with an ordering guard that re-derives it once Quality is scored and fails if the two disagree. The two fields that record the decision, risk_addon_pp and risk_addon_basis, were dropped from this calibration and are restored - that absence is why the change left no trace on disk. AND THE GAP THAT LET IT THROUGH: lint's UNIT-R-BUILD only asserted the implied add-on sat within 0.0-2.0, never that it was the MANDATED value, so a wrong-but-bounded add-on passed Layer 0 in silence on the single input the whole warranted multiple hangs on. Two new checks, R-ADDON-MANDATED and R-ADDON-UNRECORDED, with six fire-proofs covering all three tiers, the unrecorded case and a declared-exception escape. 175/175, 114/114 codes proven. B2 \"eight consecutive profitable quarters\" survived at TWO live surfaces - Gate 1 arm (e) and the section 3 opening - under a section 15 claim that the figure is derived on every build. A literal grep of the BUILDER missed both because the phrase is split across source lines (\"...and eight consecutive \" / \"profitable quarters.\"), and a must_absent assertion on the source passed while the rendered page carried it twice. The phrase is now declared in superseded_values, which is the mechanism that reads the BUILT artifact where the string is whole. B3 \"The named rivals and their share direction in the table above are sourced\" was FALSE - the Competitive Environment section carries no citation at all - and the sentence existed to confine the uncited part to \"the verdict\", which is exactly what disarms a reader's scepticism about the table. The whole block is now named as judgement. B4 delta_vs_prior claimed the prior report published NO probability-weighted target and that 17.10 was a derivation of mine. False: the 2026-09-12 report publishes \"Probability-weighted value US$17.10 against US$17.32 - -1.3%\" in its own prose and carries scenario_weighted_target 17.1, the SAME field name this calibration uses for its own figure, so the \"the field is null\" defence was defeated by my own naming. A true fact withdrawn and its non-existence asserted - the third false negative-existence claim this report has produced, and the class is now at three for three.",
"post_audit_fixes_round6": "B1 THE LIVE WATCHLIST published the superseded anchor. Its SOFI gate tooltip read \"forward P/TBV 2.0810x against a warranted 1.3425x is 1.55x\" and \"eight consecutive profitable quarters\" after the report had moved to 1.1367x, 1.83x and eleven - and build_watchlist --check reported \"0 row(s) differ\" on all three, because row_semantics strips every tag and the tooltip is the only place the watchlist publishes gate prose. The row was reproducible from the calibration the whole time; it had simply never been regenerated after rounds 4 and 5. Worse, the builder ASSERTED the surface had been reached (\"reached the array, the delta, the decision lock and the watchlist\"), and the refreeze reason claimed the eleven-quarter fix landed \"at all seven surfaces that asserted it\" - seven inside the report, zero outside. Fixed at the artifact and at the guard: a new tooltip_figures() compares the digits and number-words asserted inside title= attributes, which catches a stale anchor without firing on wording drift (the reason the original ignored tooltips), and describe_diff now NAMES which figures went stale instead of printing a bare DIFFERS. On this row it reports live-only 1.3425 and 1.55 against generated-only 1.1367 and 1.83. B2 A FALSE QUOTATION of derive_fragility.py at two surfaces: section 4 and the section-15 source row both said the declared inputs cover \"4.6 times the gap to the 1.40x edge\", attributing it to the generator by name, while the section-14 block on the same page rendered the generator's real words - 1.9x. 4.6 was the figure before the risk-add-on correction moved the hurdle. The coverage is now DERIVED from the same quantities the generator uses, so the page cannot assert one number and quote another again. B3 A FALSE CLAIM ABOUT AN EARLIER DRAFT, false in both legs and declared withdrawn while still asserted. The report said \"the two it omitted had the HIGHEST multiples in the set\". The earlier draft printed its exclusion dict's first four entries in insertion order - OMF, UPST, AFRM and DAVE - so DAVE at 22.76x, the HIGHEST multiple in the set, was listed; and THREE names were omitted, not two (XYZ, NU, DFS). The phrase sat in superseded_values at round 5 and the sweep passed it anyway, because the clause opens \"An earlier draft of this paragraph said\" and that is a recognised framing escape - the same escape that hid \"eight consecutive profitable quarters\", and the phrase is likewise split across two source lines so a builder grep misses it. The ranks are now derived from the exclusion table. What survives the correction is the substance: both omitted multiples sit above every included name, so including them would raise the median and shrink the premium. M1 A TRUNCATED SENTENCE inside the Gate 4 card - \"Both convertibles settle cash up to\" running straight into a bolded sub-heading, because a round-5 insertion anchored on that phrase and left the anchor text behind as an orphan. A published hard-gate card carried an incomplete assertion about how the instruments settle. M2 THE AUDIT-TRAIL SOURCE ROW was stale and misdirected: it said \"round1 to round4\" and \"the four round logs\" after five rounds had run, which put the round-5 events several claims rest on outside its own declared scope, and it sent the reader to \"the calibration embedded at section 14\" where none of those fields appears - the embed carries the decision fields, not the trail. The round count is now derived from a single constant and the locator names the calibration file and git. The same row also claimed round 3's log \"records the finding verbatim: three valuation lenses carrying 45% of the pillar weight published no figure\" - it does not, and Layer 0.5's third pass had flagged exactly that; the 45%/three-lens text is recoverable only from a rendered page at an earlier commit. And it had the evidence ranking backwards, routing NEGATIVE draft claims to the weaker half: a git diff settles whether a figure was printed, while a round log only records what one auditor wrote down about the author's own work.",
"post_audit_fixes_round7": "B1 THE PROFILE SOURCE ROW made three false statements about the anchor's denominator - the one input this report's largest correction was about. It attributed a market capitalisation of 20,348.2m to get_company_profile when that figure is DERIVED here as the 10-Q period-end count times the stamp close; FMP's own share basis is about 1,282.7m — the very basis the WITHDRAWN market-cap-derived count came from — which at this close implies roughly 20.2bn, so the attributed figure was 120m out. It said the share count was \"derived as market capitalisation divided by price\", which is BACKWARDS and is precisely the mixed-basis method this report withdrew at round 2 and denounces twice elsewhere on the same page - the sentence shape had survived from the prior run with a self-computed number swapped into it. And it called that a reconciliation against the Q2 basic WEIGHTED count, which is the two-denominator confusion round 2 corrected. The row now states that the profile is used for beta, exchange, chief executive and headcount ONLY, names the derivation, and quantifies the gap to the provider's own basis. M1 TWO MACHINE FIELDS WRITTEN OFF-ENUM, which silently disabled two mandated triggers. competitive_threat_level was \"Medium-High\" where the contract enumerates low|moderate|elevated|high, and competitive_share_trajectory was a 300-character paragraph where the contract is gaining|stable|losing - so a mechanical test for elevated|high matched nothing, and the framework's requirement that the section-11 Bear card carry a competitive trigger and section 12 a competitive invalidation condition went unfired on a report whose own section-3 table marks two rivals GAINING and calls the moat sub-score the weakest-evidenced in the pillar. Both enums are now sanctioned tokens (elevated, losing - with the mixed read kept in prose and the reason for choosing losing stated), and both triggers are written. M3 THE EFFICIENCY RATIO'S NUMERATOR had no declared source, under a card asserting both its figures are derived from reported lines - which is exactly what round 4 fixed for the return-on-equity leg, leaving the other of the two. The SoFi Q2-2026 earnings release was used THREE times (the non-interest expense line, the segment contribution figures behind the 48.6% cost ratio, and the confirmed absence the card leans on) and was not among the declared sources at all. Declared now, with all three uses named. M4 THE RELATIVE-STRENGTH LEG is scored 20 at 0.30 of a risk/reward sub-build carrying 0.20 of the Timing pillar, its section-7 subtitle promises it, and it appeared nowhere in the body - the third instance of this class in this report after two valuation lenses and the industry benchmark. The sub-build and the figures are published, and the SPY and XLF series are declared with their matched windows and the note that both are price-only, which FLATTERS SoFi. M5 THE MANDATED RECENT-SURPRISES TABLE was absent under a subtitle promising it; \"surprises\" occurred exactly once in the whole document, in that subtitle. It is also register entry S8-SURPRISE-BLOCK, open since DLO round 7, whose fix line offered either rendering the table or narrowing the subtitle. Rendered, because this name's thesis IS the rate path - and it earns its place: a 67.8% payrolls miss on the stamp day, private payrolls down 46%, unemployment up to 4.2% and core PCE softer on both measures, every one of them post-dating the 20 September macro state whose hiking premise the Driver pillar is scored on. The report does NOT re-score the pillar - a single print moves probabilities and does not flip a regime - but it now says plainly that the Driver score and the 2.0pp add-on are the two places it would be most wrong if the Fed is nearer the end of tightening than the frozen state assumes, and that a dovish turn is the bull case this SELL is most exposed to. M6 DO-NOT-BUY TRIGGER 2 was adjudicated on a non-test: \"the ratio has FALLEN from the prior report's 2.17x, so the direction is toward the band\" - direction of travel is not an arm of that trigger. No threshold was named and two of the three arms were never reached. All three are now worked through with their numbers: the 2.0x deep-expensive limb (1.8308, not met, and 9.2% of multiple expansion away - the only arm within reach of one quarter's move), the 1.5-times-guardrail limb (4.5x against 2.0810x), arm (b)'s conjunction (Expensive met, catalyst not), and the relative arm (35th percentile, decile 4, not the tenth). M7 delta_vs_prior carried TWO values on one stamp: the rendered copy omitted the economic alignment move 45 to 42 that the generated copy on disk records, and the framework requires it in the delta alongside the pillar scores. Minors: 2026-10-16 is a Friday, not a Thursday, at three surfaces including the live watchlist tooltip; the improvement-debt register still carried the withdrawn \"8 consecutive profitable quarters\" - an eighth surface round 5's sweep missed, and the very artifact Gate 1's \"filed as improvement debt\" claim points at; Gate 4 named 9.45 among the strings its recorded search re-runs when the regex tests 105.8089; and the anchor's tangible book is 0.48% below SoFi's own published non-GAAP figure, which is now reconciled at the point of use rather than only in a source row about a different lens - the stricter base runs AGAINST the name.",
"post_audit_fixes_round8": "B1 THE LIVE WATCHLIST TOOLTIP still said \"Thursday 2026-10-16\" while the report asserted, in the past tense and naming that surface explicitly, that the Thursday-to-Friday correction had reached it. Round 7's fix log claimed the same. The fix had landed in the builder and nobody re-ran build_watchlist --write. My own tooltip_figures check from round 6 caught it, and SOFI was the only one of 58 rows that differed - so the guard worked and I had not run it. B2 delta_vs_prior STILL carried two documents on one stamp, inside the copy that declares that defect fixed: round 7's M7 inserted one line about the economic alignment move and left the divergence the sentence describes entirely in place. The cause was ORDERING - the renderer syncs the trail from the DISK calibration into the section-14 embed, and the finalize sequence rendered BEFORE close_audit_round wrote it, so the embed captured the builder's prose delta while the file carried the generated one. A second render pass after the rounds close fixes it, and the two are now byte-identical. Second half of the same blocker: the generated delta carried the PRIOR report's fair-value caution verbatim, including \"the 10-year has risen a further 8bp to 4.78% ... the Fed debate has flipped to hike-vs-hold\" - 46bp stale against this run's 5.24% and contradicting its own frozen state, in the one field the next run diffs against. close_audit_round now attributes removed list items to the prior report, says they are not asserted here, and caps them so a superseded caution cannot be replayed whole. Four self-tests, 25/25. B3 A SIXTH FALSE CLAIM ABOUT AN ARTIFACT, and the mechanism is worth naming: the simultaneous-case note said \"an earlier draft declared this as 2.371848\" when the figure that draft declared is 2.006342, which this calibration states twice in superseded_values and superseded_detail. The sentence had been written as a LIVE EXPRESSION - round 1's withdrawn formula, ACTUAL_PTBV over warranted_ptbv(0.11) - so it silently recomputed on every build and, after the round-5 add-on change, published a number from the current baseline as history. A historical figure must be a literal. I scanned the builder for the whole class afterwards: nine lines narrate history while interpolating a value, and in every other case the interpolated value is the CURRENT half of a correction, so this was the only instance. B4 SECTION 7 ASSERTED AN ABSENCE ITS OWN SECTION 15 FALSIFIES, and round 7 created it: the sentence withdrew a causal reading on the ground that \"this report declares no Q2 release date\", and round 7's M3 fix then declared the Q2 earnings release - 8-K Exhibit 99.1 filed 29 July 2026, which is the very day of the 52-week low the sentence is about. A fix made a claim false without anyone re-reading the sentence it licensed. The dates now line up and the report says so, while still declining to call coincidence causation. M1 THE SURPRISES TABLE DROPPED THE PREVIOUS COLUMN its own declared source names (\"actual against forecast against previous\"), and that omission let two false LEVEL claims through: core PCE was called \"disinflation\" and \"cooling core inflation\" when the year-on-year rate is FLAT at 3.0% and the monthly rate DOUBLED from 0.1% to 0.2%. Below forecast is not the same as falling. The column is restored in the renderer, with a guard that refuses a table mixing row widths, and the level claims are corrected. M2 THE EIGHT-ROW SELECTION omitted the window's only employment BEAT and its only labour-market improvement, under a note presenting the counter-evidence as complete (\"Claims and GDP ran the other way and both are shown\"). ADP put September employment at 90k against a 70k forecast - and 90k is EXACTLY the payrolls forecast, so the two September series disagree about the same month and the one I lead on is not obviously right. U-6 improved while the headline rate ticked up. Both are now shown, and a new paragraph states the case against my own reading rather than leaving it to a reader to assemble. M3 the audit-trail source row was stale by a round again (round6 and \"the 6 round logs\" after seven had run); AUDIT_ROUNDS now carries 8. M4 THE WATCHLIST'S \"What Changed This Update\" BLOCK AND HEADER had never been rewritten across FOUR publishes - they still described the 21 September WCP.TO re-read while the rows carried CCI.CN, WPM.TO, DLO and SOFI, and SOFI's entry would have been the one naming a hard-gate change. Rewritten for all four, newest first, with the staleness recorded rather than quietly overwritten. Minors: absence_note said \"four searches\" where seven are declared (four about this page, three about the prior reports on disk); and the section-14 fragility block renders \"US$m of forward tangible book\" where the generator's default noun is \"NAV units\" - that substitution is DELIBERATE and strictly more accurate, since there is no net asset value in a price-to-tangible-book anchor, so the quotation claim in section 15 now declares the exception rather than the output being changed toward a wrong word.",
"post_audit_fixes_round9": "Round 9's finding is one class, and it has been answered at the mechanism rather than at the sentences. Three restatements of the favourable-case band were hard-typed: the band name ATTRACTIVE, the edge count THREE (1.40, 1.20 and 1.00), and the signal consequence \"the one combination which could reach a BUY\". All three were TRUE at round 3, when the favourable ratio was 0.8550. Round 5's mandated add-on correction moved it to 1.0274, back across the 1.00 edge, and only the DERIVED band label followed; the three typed restatements did not, so the report carried a band label and a prose description of that same band that disagreed. They are now computed, by _edges_crossed() off the band ladder and _signal_at_ratio() off lint_report's own base-signal function, so the derived value and the prose cannot drift again. The favourable case reads FAIR, two edges, and HOLD-not-BUY -- and states explicitly that at the scored Quality the matrix returns HOLD even with timing recovered to Improving, because a BUY needs a valuation pillar at 65 or better and this framework only awards that below 1.00x. The figures that sentence originally carried -- Quality 57, and \"the Attractive band\" for the whole sub-1.00 range -- both moved later: Quality is 56 since round 12 and the 0.80 split distinguishes Attractive from the Attractive/Fair edge, so this entry states the mechanism and leaves the numbers to the artifact. quality_detail and timing_detail were restored to the calibration carrying industry_benchmark_score 32 and catalyst_clustering_score 45, the field-disappearance class round 3 found on industry_benchmark_score itself; timing_detail now also declares WHICH sensitivity row the macro/sentiment/catalyst weights come from -- the SKILL's Medium row, which names Fintech, against the High row, which names Banks -- score-neutral either way at 34.085 against 34.425, and recorded because the row used was nowhere declared. The market-capitalisation figure behind the liquidity note is now DERIVED from the 10-Q period-end share count times the stamp close, with the provider's own share basis and its roughly US$20.2bn stated beside it; an earlier draft cited the company profile for a number that profile does not yield. The FY2029 return on tangible equity is published at its own precision, 15.03%, not rounded to 15% in a sentence that attributes it to four named analysts. One major was recorded at the time as REFUTED rather than fixed, and ROUND 12 WITHDREW THAT REFUTATION IN FULL. The auditor counted fifteen stamp-week releases and was right; the total of sixteen I answered with came from a call whose window was not the note's, a payload total is not a filtered count, and the row I said they had omitted is not high-impact at all. Minors: the Layer-0 receipt is re-stamped after this round closes, because the generated trail fields are written after the first render and the receipt had recorded fewer assertions than the final artifact carries. This log records what changed and asserts nothing about where it landed; the artifact is the evidence.",
"post_audit_fixes_round10": "Round 10's seven blockers, four majors and three of its four minors are addressed; one minor is answered as deliberate. B3, which is not a string repair: the 22 September 2026 SoFiUSD settlement go-live across Mastercard's network — a dated, material, in-window catalyst that BOTH prior reports on this name carry — had been dropped from the report entirely, along with the machine field that held it. Restored at six surfaces with a declared source that separates the announcement-sourced go-live from the primary Item 1A risk disclosure, and the omission's cause is recorded: the 10-Q source row declares Notes 4, 9, 10, 12 and 15 plus regulatory capital and Item 3, which is the same scope whose gap the PRIOR report's auditor had already found and fixed once. It earns NO pillar credit and the moat sub-score does not move — ten days of production, no revenue or fee figure published, and US$25bn is an annualised volume migrating gradually rather than a revenue line — and it is carried as a Gate 5 risk-surface caution instead, which is where the company's own Item 1A puts it. B1: the Expensive/Full boundary sentence said 13%-14% of terminal return while the table it introduces puts it between 15% and 17%, and the solved edge is 15.51%; the bracket is now DERIVED from the table with an assertion that the solver and the table agree, and the stale figure is explained rather than merely replaced — it was true at the withdrawn 10.74% cost of equity, where the edge re-solves to 13.90%. The same note had explained the correct 15.51% by saying the table brackets 13-14 and bisecting gives the figure, which yields 13.5 and cannot produce it by any route. B2: the withdrawn catalyst-absence survived in the §15 news row and in the declared absence list, inside a report whose body withdraws it at length; both now carry the withdrawal, and the news source is cited for the one thing a feed pull can support. B4: the §15 own-history row published the markdown rationale the body calls incoherent; withdrawn, with what the series IS used for stated instead. B5: every count in the audit-trail row is now derived from the structure it describes — it had been wrong four ways at once, including omitting cite_audit from the list of fields absent from the embed. B6: the 15.03% terminal return is published at its own precision in §12's sell column and in scenario_note, which had struck the warranted multiple on a rounded 15.00% while §11's bull card used 15.03%. B7: the peer table's LIKE-FOR-LIKE label sat on the 10-Q row while the prose names the FMP row as the like-for-like one, and the headline premium was quoted on the wrong basis; both rows are now labelled by basis, both premiums published, and the FMP per-share figure is declared once as a constant instead of typed as a bare literal at seven places. M1: 'the two agree exactly' is corrected to the measured 14-share gap that its own parenthesis printed. M2: a [[src:...]] marker in a source NAME shipped as literal text inside two live tooltips, because a name becomes the title attribute and that attribute is built before markers resolve; moved into the note, and the renderer now REFUSES the class with both arms fire-proofed. The absence search that was supposed to catch unresolved placeholders used a brace-syntax regex this builder never emits, so it was narrowed to the form that already passed; a square-bracket search is added with an embed exclusion, also fire-proofed both ways. M3: arm (b)'s second catalyst limb — an armed systemic tail — was never adjudicated, and since the Expensive half IS met it was the only unexamined thing between this report and a hard Do-Not-Buy; the frozen macro state carries one armed tail and SOFI is not in that cohort, so it does not fire, and that is now on the record. m1: the §14 embed emitted every em-dash as a — escape; the renderer now writes real UTF-8. m3: the band ladder is split at 0.80 per SKILL L709-710, so a sub-1.00 ratio reads Attractive or Attractive/Fair edge rather than one label for both — tested across the split, every matrix consequence this report states is unchanged. m4: the fourteen FY2027 analysts no longer 'do not' carry the terminal rate; they publish no view on a perpetual rate, which is silence rather than disagreement. m2 is answered as DELIBERATE and not changed: dnb_adjudication carries HTML because the renderer renders it as HTML, and stripping it would break the page. This log records what changed and asserts nothing about where it landed; the artifact is the evidence.",
"post_audit_fixes_round11": "Round 11's five blockers, two majors and three minors are all addressed. B0 is a process finding against me and it is upheld: the artifact was rebuilt while this auditor was live, because a Layer-0.5 pass was running alongside it and I acted on the Layer-0.5 findings mid-round. The rule going forward is stated rather than implied — parallel auditors are fine, touching the artifact before every one of them has returned is not. B1: the one-month relative-strength set was NOT matched. SOFI and SPY read the 2 September close; XLF read 58.10, which is its 4 SEPTEMBER close, its 2 September close being 57.66. The old line carried the comment \"weekly closes, matched weeks\" while doing neither — 2 September 2026 is a Wednesday, so none of the three was a weekly close, and a false comment was the only thing enforcing the invariant. Base prices are now keyed by DATE with an assertion that every series reads the same two sessions, so an unmatched window fails the build. The two figures move AGAINST the name and they cut opposite ways inside one sentence: the old XLF figure overstated the sector markdown that EXCUSES SoFi, and the old gap understated the idiosyncratic weakness that CONDEMNS it. The three-month set was correctly matched all along and does not move. B2: \"does not cover the cost of equity until about 2028\" was false at five surfaces while publishing 2028 at 10.94% against an 11.74% hurdle — the disproof inside its own sentence. True at the withdrawn 10.74% hurdle; stale since round 5, in the same family as the band bracket and the one-notch claim. The coverage year is now solved from the model's own return path: 2030 on the ramp, 2029 on the panel at a figure this report declines as a model input. A sixth surface was found by grepping the class rather than working the auditor's list. B3: the §2 Gate 5 CARD said \"one addition\" and carried one, while gates_caution — the machine record of the SAME gate, published in the §14 embed — carried two, and §3's body sent the reader to the card for the one it lacked. The count is derived from the list and the SoFiUSD addition is stated on the card. B4: Trigger 5 was keyed `trigger_5_special_situation` and adjudicated against the special-situation test, which is Gate 5's; the SKILL defines Trigger 5 as a STRUCTURAL BUSINESS MODEL THREAT. Arm (b) of Trigger 2 leans on it, and the Expensive half of that arm IS met, so the only thing between this report and a hard Do-Not-Buy rested on the wrong question. Re-keyed, re-adjudicated on the SKILL's test and on the two fields the old record never engaged — competitive threat ELEVATED and share trajectory LOSING — and the conclusion holds: competitive erosion is not an existential threat. The old answer is relabelled rather than deleted, because it is the Gate 5 question. M2: the §10 caption called 22 September \"a third session\" in a sentence whose subject is the two LARGEST; it is the SEVENTH heaviest of the 128, and the rank is derived now. m1: the §15 income note asserted a reconciliation that does not tie to the filing — the 10-Q reports total net revenue of 1,218,676k against the provider series' 1,218,666k, and the gross line the note subtracts from does not appear in the filing at all. The US$10k gap is disclosed, the provider series kept because every TTM figure rests on it, and it is shown that nothing published moves either way. m2: a 16% sensitivity row is added, which tightens the DERIVED bracket from 15-17% to 15-16% around the solved 15.51% automatically. m3: the band vocabulary is swept with the 0.80 split, so sub-1.00 is no longer called \"the ATTRACTIVE band\" when the SKILL splits it into Attractive and the Attractive/Fair edge. This log records what changed and asserts nothing about where it landed; the artifact is the evidence.",
"post_audit_fixes_round12": "Round 12's three blockers, five majors and three minors are addressed, and so are Layer 0.5 pass 7's eight not-supported rows — the two reports are closed together because the artifact was held frozen until both returned, which is the rule round 11's B0 established. THE FINDING THAT MATTERS MOST IS ONE I GOT WRONG MYSELF. At round 9 an auditor counted fifteen high-impact releases in the stamp window, I refuted it, and the refutation was the defect: I read total_events 16 from a call whose window was NOT the window the note describes, and a payload-level total is not a count of the note's own window. Re-run on 2026-09-26 to 2026-10-02 with importance=high the answer is FIFTEEN, Personal Spending MoM is not in the high-impact set at all, and the figures I attached to it belonged to Construction Spending. Withdrawn in full, with the lesson recorded: a refutation is a claim and has to meet the bar it is refuting. Pass 7 also found a FALSE NEGATIVE-EXISTENCE CLAIM I had created while fixing an earlier one — \"NO declared source reaches Galileo\" — and the data that does exist is materially adverse: Technology Platform revenue US$55.528m against US$90.544m, down 38.7% year on year. Combined with round 12's M3 (moat carried at its old value while competitive threat went moderate to elevated and share trajectory gaining to losing, with no provenance entry at all) that re-adjudicates the moat 60 to 52 and Quality 57 to 56, both inside MEDIUM, signal unchanged. An unsupported TWO-YEAR SOFR benchmark is withdrawn at three surfaces together with the derived 103.6-103.8% forward mark built on it: the Q2 10-Q names no tenor, saying only that the discount rate rests on \"an underlying benchmark rate curve and spread(s)\", and its only SOFR tenors are overnight and one-month for variable-rate debt. The prior report's ten-year framing was unsupported and this run had replaced it with an equally unsupported two-year one. Gate 1's arms were swapped against SKILL L1266-1270. The letters were corrected at SEVEN LIVE SURFACES -- the free-cash-flow arm is (d) and the current-ratio arm is (c) -- and the EIGHTH occurrence is a round-2 fix-log entry, which round 13 found still asserting a present-tense arm (c) beside a page publishing (c) as the current-ratio arm; it is annotated rather than rewritten, because a historical log should say what it said and then say what moved. Round 12's blockers: §12 still called the sub-1.00 range \"the ATTRACTIVE band\" after §4 withdrew the label and two fix logs claimed the sweep had reached it; §4's published derivation of the 10.12% FY2027 return said OPENING tangible book where the code and the machine field use AVERAGE, which is now declared with the opening-book alternative COMPUTED and published (ratio 1.8013x, still Expensive, and the basis actually used is the harsher of the two); and absence_note's search count was hand-typed beside a machine-enumerable list and wrong by one in both directions across two drafts, so it is now derived from the array with an assert that every placeholder substituted. Majors: the Quality delta is restated as a LEG-SET RESTRUCTURE, because round 12 showed the old \"mostly the benchmark leg, the rest off returns\" attribution is false on both readings of the baseline and in opposite directions; Gate 7's bare parenthetical no longer attaches the 2028 figure to the 2030 claim; the §10 volume rank and the Gate 5 addition count are now genuine len() computations over declared lists rather than integers a log called derived. Minors: the fragility block's ratio reads 1.8308 like every other surface, because derive_fragility now prefers an unrounded warranted multiple; the profitability start date is Q4-2023, consistent with the eleven-quarter count the same series gives; Item 1A is added to the enumeration the going-concern absence argument rests on; the 2029 note's holder-conversion window is stated in the PAST tense because it closed two days before the stamp; and the \"migrating gradually\" attribution §15 withdrew now reaches the body. Six draft-or-round claims resting on data markers are routed to audit-trail — and because that class had reproduced across passes 5, 6 and 7 with two instances CREATED by the repairs themselves, it is now closed mechanically rather than by hand: preflight's new CITE-DRAFT-SOURCE finds exactly the six pass 7 found. This log records what changed and asserts nothing about where it landed; the artifact is the evidence.",
"post_audit_fixes_round13": "Round 13's three blockers and four majors are addressed together with Layer 0.5 pass 8's five not-supported rows and its three note-level findings, because the artifact was held frozen until both returned. ROUND 13'S CAUSE WAS MINE AND IT IS NOW FIXED AT THE MECHANISM: round 12 changed two scores and a gate-arm letter and registered only the withdrawn PHRASES, not the withdrawn VALUES, so superseded_sweep's clean result was a statement about 101 other values while the old moat score stood at four live surfaces — the section-3 Competitive Environment heading, two sentences in the moat read that bracket the paragraph saying \"stays 52\", and the SECTION 11 BEAR CARD, which told a reader sizing the downside that the trigger was unfired when carry_provenance says it fired. All four now render the constant, and the moat score and the opening-book warranted multiple are DECLARED in published_figures, which is why figure_set was blind to both. The Gate 1 arm swap reached seven of eight surfaces; the eighth is a round-2 fix log, now annotated rather than rewritten, and the log that claimed \"eight surfaces\" says seven. audit_route_note still presented my round-9 refutation as standing three sections from where the report says the refutation was the defect; that entry now carries the withdrawal. Majors: quality_detail.note performed a per-leg attribution of the Quality fall across a boundary where a four-leg build became a seven-leg build, which section 3 says cannot be done — withdrawn, with what CAN be said stated instead; Gate 1 arm (a) printed a 4x threshold against SKILL L1266's 5x and had survived thirteen rounds; the opening-book warranted multiple was published at two roundings of one number, the body and a fix log disagreeing in the last place, and it is now a DECLARED published figure so figure_set can see it; and post_audit_fixes_round9 asserted section-4 content that section no longer carries. AND THE COUNT I HAVE NOW BEEN WRONG ABOUT IN BOTH DIRECTIONS IS SETTLED. Round 9's auditor counted fifteen stamp-week high-impact releases; I answered sixteen; pass 7 said fifteen and that my refutation was the defect; I accepted that and withdrew it; pass 8 re-ran the tool with its parameters stated and got SIXTEEN. I have reproduced that call exactly: Personal Spending MoM (Aug) returns dated 2026-09-30 with impact High, actual 0.9 against a 0.8 forecast. So my original answer was right and my withdrawal of it was wrong. The reason three passes disagreed is now published, because it is worth more than the number: this endpoint returns a DIFFERENT EVENT SET for the same historical dates depending on the window requested — a days_back=9 pull omits that row and a days_back=10 pull returns it — so each side could run the tool honestly and get a different answer, and the only safe method is to bracket the claim and enumerate by date. Pass 8's remaining rows: the moat leg's figure and scope are corrected, with Notes 3 and 17 added to the declared 10-Q reading rather than moving the citation a sixth time; the twenty-quarter \"never once earned its cost of equity\" claim is labelled as something no declared source can establish; the like-for-like premium is re-routed off the leverage-only ratios row at the surface a later note had already declared repaired; a verbatim Note 9 quote now cites the filing; and three disclosure-absence clauses are routed to the source that records them. Three note-level findings no row-level layer can see: the 2029 notes' conversion terms are NOT in this filing and the note no longer implies they are — and the mechanism is recorded, because a body defect had been \"repaired\" by moving those figures into a section-15 note, which the census does not grade, so the relocation put them where no citation check looks; the revolver is 486.0m DRAWN of 645.0m with 497.4m UTILISED, the difference securing letters of credit; and the FDIC consumer-lender group MEMBERSHIP, which the whole 0.18-weighted benchmark leg rests on, is stated as a judgement the Quarterly Banking Profile cannot carry, with the direction it cuts named — the all-insured column published beside it is harsher, so the narrower group is the friendlier choice to this name. The risk add-on is relabelled RISK rather than \"quality\", because the quality band at Quality 56 gives 1.0pp and the 2.0pp here comes from the beta clause. This log records what changed and asserts nothing about where it landed; the artifact is the evidence."
