Changes since last report — vs 16 Aug 2026 (C$1.65)

Signals unchanged at HOLD on all three horizons, and the name stays Stopped. The shares are up 13.3% and nothing underneath them has changed — no financing, no DFS, no licence granted. The re-rating is entirely multiple expansion.

Status — this stays Stopped. The auto-Stop rule marks a Donatien Pick Stopped when no horizon carries a BUY, and none does. It stays visible on the watchlist rather than being quietly dropped, it keeps being tracked and refreshed on schedule, and it returns to the active list automatically as soon as a later report upgrades it on any horizon. On this name that means: when the financing lands.

Meridian Mining Plc

Meridian Mining is a single-asset copper-gold developer whose value rests almost entirely on Cabaçal, a volcanogenic massive sulphide deposit in Mato Grosso, Brazil. It does not yet mine anything: the business today is turning a defined orebody into a financed, permitted, buildable mine. A prefeasibility study is complete, the definitive study is due in the fourth quarter of 2026, the installation licence has been applied for, the mill transformers are ordered and the SAG mill is committed but not yet under contract. Its distinctive position is the asset and the jurisdiction — a copper-gold deposit with gold credits that lower the effective copper cost, in a country that permits mines — and its central problem is that the US$248M needed to build it has not been raised.

Hard Gates & Do-Not-Buy Status

Binary safety checks — any TRIGGERED gate is a hard cap regardless of the scores above; CAUTION gates are sizing notes.
❌
Gate 1 — Financial Distress / Going Concern
TRIGGERED, and it is the only thing holding this report at HOLD. The half-yearly accounts to 30 June 2026, approved 12 Aug and released 13 Aug, carry a going-concern MATERIAL UNCERTAINTY: the company remains reliant on the equity and debt markets for additional capital[1]. The US$248M[5] initial capex is unfunded and there has been NO financing since[2]. I am not writing myself an exemption on the grounds that this fires on every pre-production developer — it fires here because the auditors said so, and the condition it describes has not changed.
❌
Gate 4 — Dilution
TRIGGERED, and I nearly left it out of this report. The rule is share count growing more than 5% a year for two or more years. Tested: FY2023 +21.9%, FY2024 +25.6%, FY2025 +37.6%, H1-2026 +16.1% — four consecutive years against a two-year bar. A prior draft of the August report misquoted the rule by dropping the two-year clause and exempted the name on a blended-issue-price argument that appears nowhere in the framework; an independent audit reversed it. It stands reversed. Like Gate 1 this fires on essentially every pre-production developer, and like Gate 1 that is not a reason to write a per-report exemption — it is a reason the framework is cautious about pre-production developers.
⚠️
Construction financing
The US$248M[5] is unfunded[1] — against US$92.25M of cash and no debt[1], so the gap is roughly US$156M, not the whole number. An equity leg at anything like today's market capitalisation implies roughly 20–30% further dilution. AN EARLIER DRAFT OF THIS REPORT CLAIMED THAT DILUTION WAS 'CHARGED ONCE, INSIDE THE 40% HAIRCUT'. It is not, and the claim was unfalsifiable as written: the framework calls that haircut a CONSTRUCTION-risk discount, no decomposition of it into construction and financing components exists, and the NAV is struck on the shares in issue today with neither the new shares nor the financing proceeds modelled. So the anchor charges dilution ZERO times, and the honest statement is that dilution sits OUTSIDE the anchor and is carried in the bear case and in this caution instead. That is also why the base case can sit above the risked NAV: it assumes the financing completes and the 40% construction haircut then begins to unwind toward the unrisked C$3.01, which more than offsets a 20-30% share-count increase. This is the same risk Gate 1 describes, seen from the shareholder's side.
⚠️
Permitting / Binary
The Installation Licence is APPLIED FOR, not granted[3]. It is a staged regulatory process rather than a dated binary, so it does not fire a gate — but it stands between here and a financial investment decision.
⚠️
Study risk (DFS)
The whole valuation rests on a PFS NPV. The definitive study lands in Q4 2026 and will replace it. Feasibility studies raise capex more often than they lower it, and a higher capex on an unfunded project widens the very gap Gate 1 is about.
✅
Valuation ceiling (Gate 3)
Does not fire. Warranted ratio 0.99 against the 1.40× threshold, and actual P/NAV 0.99× against the 1.5× Materials guardrail — both clear with room. The Attractive/Fair boundary at 1.00× is a different and much nearer line, and the name sits just inside it.
Gate summary — TWO hard gates, and they decide the report. The five pillars produce a BUY that amplification would lift to STRONG BUY on the medium and long horizons — but NOT on the short, where the driver reads 62 against a bar of 65. Gate 1 (going concern) and Gate 4 (dilution) each cap every horizon at HOLD, and both describe the same underlying fact: this company has to keep selling shares to exist. Everything else is a caution. If the going-concern language clears — which takes a financing, not a good quarter — this name re-rates on the framework immediately, and that is the single thing to watch.

Pillar Detail: Business Quality

A deep dive into the Quality score: business economics, moat, ROIC and the industry benchmark.
Business Quality — Pillar Score
Licence applied for, equipment ordered, DFS due Q4 2026 — and the build is unfunded
69
conf 52%

Lifecycle: a pre-production copper-gold developer, and this run moves the sub-stage from PFS-stage to DFS-due — the Cabaçal definitive feasibility study was around half complete at the end of May and remains on schedule for Q4 2026[3]. That matters because a DFS replaces the study this entire valuation rests on.

What is genuinely good here. The Installation Licence has been applied for — the step before a financial investment decision — and the electrical transformers are ordered from WEG for Q4 2026 delivery. On the SAG mill the company has agreed design, technical specification and pricing, with only contract terms left to finalise[3] — committed, but not yet an order, and an earlier draft of this report overstated it as one. Brazil is a jurisdiction that permits mines, and Cabaçal is a copper-gold deposit in a copper market the macro report rates Strong Overweight on the long horizon[13].

And what is not. The half-yearly accounts released on 13 August carry a going-concern material uncertainty — the company remains reliant on equity and debt markets for additional capital[1]. The initial capex is US$248M[5] and it is unfunded[1]. I checked the one thing that could have changed that, against the company's own news feed rather than the news tool: there has been no financing of any kind since my last report. The only release since the accounts are routine staff-plan share admissions — 195,520 admitted on 26 August and 136,730 applied for on 11 September, due to be admitted around the 16th — plus two director share-unit grants[2]. An earlier draft of this report said the 11 September application was the only release in the period. That was wrong, and it cost me the share count: missing the 195,520 put the divisor 58,790 shares light, and I had the correct figure in front of me from the provider and talked myself out of it.

Competitive Environment

Who it competes with. Not for customers — copper concentrate is sold into a global market at benchmark terms, so Meridian is a price-taker with no pricing power whatsoever. It competes for capital, and its rivals are every other financeable copper developer courting the same generalist and streaming money: Foran Mining (McIlvenna Bay, further down the build path), Filo and NGEx in the Vicuña district, Solaris Resources in Ecuador, and the private capital now flowing directly into Brazilian copper.

Share trajectory: gaining, on the only axis that applies. A developer's market share is its share of available project finance, and Meridian has moved up the queue — permitted-in-progress, equipment ordered, DFS on schedule for Q4 2026. That is a better position than a year ago.

Net effect on the moat. The asset is the moat: a defined deposit in a permissive jurisdiction cannot be replicated, which is why intangibles score 68. Against that: switching costs 50 — there is no customer to lock in — pricing power 20, because a copper-gold miner is a price-taker in every market it sells into, network effects 50, and cost advantage 85 — the highest sub-score here, and it is worth saying why, because an earlier draft of this report printed 55 and buried it: the PFS puts life-of-mine AISC at US$742/oz AuEq[5], which is genuinely low-cost, and that is also the single largest input to the Quality pillar via an industry-benchmark score of 92 on an AISC margin of 83.1%. That benchmark deserves a health warning. It is computed against today's spot gold, for a mine that does not exist and has never poured an ounce, so it measures the deposit's promise rather than any demonstrated performance. A reader should treat it as the weakest-evidenced input in the whole scorecard. Moat 55, threat level moderate. The competitive risk that matters is not a rival taking share; it is a rival taking the capital.

Quality 69 — unchanged. Nothing material has happened since 16 August: the licence application and the equipment order were both May events already inside the prior score, and the going-concern language is unchanged. A flat score here is the honest one.

Valuation Attractiveness — Pillar Score

The anchor. Cabaçal's PFS carries an after-tax NPV at 5% of US$984M[5]. The framework's pre-production mining lens discounts a study NPV 30–50% for construction risk; I use 40%, add net cash, subtract the present value of corporate overhead, and divide by the 487,314,611 shares actually in issue[11].

One adjustment an earlier draft missed. The accounts are dated 30 June and this valuation is struck at 11 September — 73 days apart — and that draft carried cash at its 30-June level while starting the overhead clock today, so the period was counted in the company's favour twice. The operating burn over it, US$3.75M at the H1 run-rate, is now deducted: net cash US$96.0M → US$92.25M[1]. The investing outflow over the same window (~US$1.01M) is not deducted, because it buys drilling and study work that creates resource value this NAV credits at zero — but that is a judgement, so it is declared as a sensitivity below rather than quietly netted.

The build, so you can rebuild it rather than take it.
(US$590.4M risked NPV + US$92.25M net cash[1] − US$16.9M PV of corporate G&A) × 1.38353 USD/CAD[10] ÷ 487,314,611 shares[11] = C$1.890 a share.

The G&A term is built bottom-up, and an earlier draft of this report got it wrong. I first back-solved it from the NAV my own August report published, then claimed the unrisked and spot rows corroborated it. They cannot: all three rows carry the same cash, G&A, haircut, FX rate and share count, so between them they pin only cash minus G&A — never G&A itself. What they do establish is that the 40% haircut applies to the NPV alone. So the term is now built from the accounts: H1-2026 general and administrative expense of US$3,008,355[1] annualises to about US$6.0M, and with an owner's-team ramp through the build that is roughly US$18.8M nominal over 2.3 years — US$16.9M discounted at this report's own 9.13% cost of equity. The runway is SOURCED, and an earlier draft of this report claimed it could not be. That draft said no release gave a construction start or a first-production date. Meridian's release of 17 February 2026 gives both — a potential construction start in H1 2027 pending the Installation Licence, and a restart of production by the end of 2028, each qualified by licence approvals[9]. An earlier draft before that one had the H1-2027 date right and attached it to the wrong release; withdrawing the citation, I withdrew the fact with it and then asserted that no such date existed. That was worse than the mis-citation, and it cost a year: the runway used here runs to end-2028, not the three and a half years assumed on the way. And the base is rising: H1-2025 G&A was US$1,591,097, so the half-year figure is 89% higher year on year[1], which a flat US$6.0M/yr may well understate. Reasonable people would put the term between US$13M and US$26M — a NAV of C$1.901 to C$1.864. An earlier draft claimed the band stayed Attractive across that whole range. It does not: the band turns Fair at US$24.0M, which is inside the range I just quoted.

Warranted P/NAV is 1.00× precisely because the risk is already inside the NAV — discounting twice would be double-counting.

The stock has closed most of the gap to its own NAV. C$1.87 against C$1.890 is 0.989× NAV. In August it was C$1.65 and 0.88×. The shares are up 13.3% and the NAV has not moved, because nothing happened to move it — no financing, no DFS, no permit granted. The entire re-rating is multiple expansion against an unchanged asset.

The band is Attractive by the rule — and it is one assumption away from Fair. Both halves of that sentence matter.

Raw P/NAV is 1.87 ÷ C$1.890 = 0.9894, and the framework's Attractive band runs to 1.00. An earlier draft published this as Fair — not from any disagreement about the asset, but because the ratio was rounded to two decimals before being compared to the band edge, turning a 0.9973 into 1.00. That was an arithmetic artefact and it is fixed in the generator for every report, not just this one.

But a second draft then over-corrected, and I am not going to repeat it. Calling this ‘Attractive’ flat, without qualification, reads as a margin of safety that is not there. The framework itself names this zone the Attractive/Fair edge, and the generated fragility test says NOT ROBUST, and one-sided toward worse: only C$9.8M of net asset value — 1.1% of the total — separates this name from the Fair band, and six of the eight declared uncertain inputs close that gap on their own. The exception is named in the table rather than buried — cash at the valuation date closes 65%; metal price deck closes 0%. An earlier draft of this report said every input could, which its own generated fragility block falsified.

InputPublishedTurns Fair atCan it, within its own declared range?
Construction-risk haircut40%40.72%Yes — the framework's own range is 30–50%, so the midpoint used here is a third of a percentage point from flipping the band. The dominant sensitivity.

USD/CAD1.383531.3688Yes — the 52-week range is 1.3484–1.42478[10].
Cash at the valuation dateUS$92.25MUS$85.18MNo — and it is the only one that cannot. It closes 65% of the gap. Said explicitly because an earlier draft claimed every input could flip the band on its own, which this one falsifies.
Scope of the forward cost termcorporate G&A only, ~US$6.0M/yr+US$7.1M of PV (~7 months of the non-G&A burn)Yes, and this is the one an earlier draft left out of this table. The company's observed total operating burn is ~US$18.75M/yr against the ~US$6.0M/yr charged here. Charge the difference forward over the same 2.3 years the G&A term uses and the stock is 3.0% ABOVE its risked NAV.
Year 0 of the PFS NPVtoday (NPV taken at face)deferred 0.14 yearsYes, and it was declared nowhere until round 10. A PFS NPV discounts to construction start, not to the day you read it; the company guides a potential start in H1 2027, about 0.75 years out. The asset term is taken at face while the cost terms run a clock to end-2028 — two clocks, one of them undeclared until now.
Metal price deckthe study's own base deckn/a — it moves the other wayIt cannot turn the band Fair; it is the only input that pulls the other way, and it pulls hard. The PFS's own 8x8 grid puts the stock at roughly half its risked NAV on metals below today's. Two earlier drafts excluded this lens on false statements about the study.
So the honest statement is not ‘this is cheap’ and not ‘this is dear’. It is that the stock sits essentially at its own risked net asset value, that which side of the line it lands on depends on assumptions reasonable people would argue about. An earlier draft added that the arguing all points the same way — toward Fair, not toward cheap. That is withdrawn. It was only ever true of the inputs I had declared, and I had left out the largest one. Six of the eight now pull toward Fair and the construction haircut crosses on its own; the metal-price lens pulls the other way and pulls harder than any of them. The honest shape is a thin downside cushion against a large, real, deliberately unbanked upside.

The signal does not move either way. The Decision Matrix returns BUY across this whole neighbourhood of valuation scores, and two hard gates cap every horizon at HOLD regardless. What changed is the margin: in August there was 13% of NAV beneath the price on today's NAV basis, and there is now 1.1%.

The surface, not a point estimate

A single NAV would be false precision on a pre-production developer, so here is the range the same PFS[5] supports, each converted at the same 1.38353 USD/CAD[10] over the same 487,314,611 shares[11]:

BasisNAV / shareP/NAV at C$1.87What it assumes
Unrisked PFSC$3.010.62×The mine gets built on budget and on time, fully funded. No developer deserves this.
Risked — the anchorC$1.8900.989×A 40% haircut for construction risk, which is where the framework puts an unfunded developer.
Risked, at the PFS spot caseC$2.620.71×The study's own spot-case NPV of US$1.41bn, priced at 27 February 2025 metals — gold US$2,917/oz and copper US$4.54/lb — not today's.
Read that third row carefully — an earlier draft mislabelled it. It is not a today's-prices NAV. The PFS spot case was struck in February 2025, and gold has since run from US$2,917 to US$4,366 and copper from US$4.54 to US$6.47[8] — roughly +50% and +43%. A genuine today's-metals NAV would therefore sit materially above C$2.62. I am not publishing a number for it in the anchor — but I can now put one beside it, and two earlier drafts of this report wrongly said I could not.
What today's metals are actually worth, and the two false reasons I gave for not showing you.
The first draft said the PFS gave no sensitivity table. The second said it gave only two points and that NPV is not linear in price. All three claims were wrong about a source this report cites on every page. Table 1 of the March-2025 release is an 8x8 post-tax NPV5 grid — 64 cells — running gold US$1,500-4,000/oz against copper US$3.50-6.00/lb, with a matching IRR grid[5]. It is exactly bilinear: every +US$500/oz of gold adds US$217M and every +US$0.50/lb of copper adds US$103M, constant across the whole published range. Base x base returns the US$984M this report anchors on and spot x spot the US$1,410M in the row above, which is how you know the reading is right.

The grid's top corner — gold US$4,000, copper US$6.00 — is US$2,180M. Today's metals are US$4,366/oz and US$6.47/lb[8], above that corner, so this is an in-grid figure and a floor, before any credit for silver sitting 102% above the spot-case deck. Through this report's own model that is C$3.93 a share, or 0.48x.

I am not moving the anchor, and I want to be plain about why. The framework values a pre-production mine on the study's own deck because a mine that will not pour until 2028 should not be priced on this morning's tape, and I still think that is right. But excluding a lens is a judgement, and I excluded this one twice on statements about the study that were simply false. It is now a declared sensitivity like any other, and it is the largest one in the model.

The spot-case row is the bull case and it is real — even on a 19-month-old metal deck the stock trades at 0.71× it. But the framework anchors on the study's own base deck for a reason: a mine that will not pour for years should not be valued on this morning's metal price. Today's metals belong in the Drivers pillar and the bull scenario, not in the anchor.

The relative lenses

So the score rests almost entirely on the anchor, and the anchor rests on a PFS NPV that a DFS will replace this quarter. That is why valuation confidence is 50%.

Valuation 66 — down five. The band is still Attractive, but only just: at 0.989× the risked NAV there is 1.1% of cushion left where August had 13%. The asset is unchanged and the price is 13.3% higher, so the cheapness is the only thing that moved.

Pillar Detail: Underlying Drivers

The dominant external force the stock is tethered to, scored 0–100. A context pillar: it does not change the base signal — it feeds amplification (tailwind ≥65 can lift BUY→STRONG BUY; headwind ≤35 can push SELL→STRONG SELL).
Primary Driver
Copper and gold prices versus the Cabaçal study deck
72
Tailwind 72 overall — eligible on medium (74) and long (80), NOT on short (62, below the 65 bar)

Cabaçal is copper-GOLD, so both legs get read — and they disagree.

Copper US$6.47/lb — COMEX HG=F front-month, quoted natively in US dollars a pound[8]. That is 7.5% above a rising 200-DMA and level with the 50-DMA — a supportive level. But it is −1.9% over four weeks[8], and the macro report has copper short Underweight, medium Neutral, long Strong Overweight[13]. Long-run constructive, near-term flat.

Gold US$4,366/oz — COMEX GC=F front-month[8]. Above a rising 50-DMA, but 3.5% BELOW its 200-DMA[8] — a metal in a pullback, whatever the macro report's Strong Overweight says about the longer arc.

This is exactly the case the framework's trend overlay exists for. A high commodity level with a flattening or negative trend is not a clean tailwind, and scoring the level alone is the narrative-over-tape error.

To be fair to my own prior report: it did read the trend. An earlier draft of this section said the August 82 ‘scored the level’ and implied the trend was new information. It was not — the August calibration recorded four-, six- and eight-week momentum on both metals, noted gold below its 200-DMA and ran the Step-2b test explicitly[14]. What has actually changed is the readings, not the method, and only the short end of them:

Metal4wk6wk8wkvs 50-DMAvs 200-DMA
Copper−1.9%+0.4%+2.8%level, rising+7.5%
Gold+0.1%+6.5%+9.6%above, now rising (was falling in August)−3.5%

Read across all three windows rather than the shortest, this is genuinely mixed: copper’s four-week leg is negative but its six- and eight-week legs are positive, and gold’s medium-term momentum has improved materially since August while its 50-DMA has turned up. The Step-2b short-driver cap does not fire on either metal, and I am not claiming it should. The cut to 72 — down 10 — is for the loss of the clean copper tailwind at the short end alone. It is still a Tailwind, still amplification-eligible, and the honest word for the evidence is mixed, not deteriorating.

Pillar Detail: Economic Alignment

How the current economic climate sits relative to this stock, read from the latest Macro-Economic report. Classifies the macro pressure (Tailwind / Neutral / Headwind) — the second amplification input — and frames a long entry as Trend-Following or Contrarian with a 0–100 conviction.

The 9 September macro report has Materials (XLB) Overweight on all three horizons and the dominant regime as energy-shock stagflation at 48%[13]. Hard assets and the companies that produce them do comparatively well in that regime, and a copper-gold developer sits squarely in it.

Pressure Tailwind, stance Trend-Following, conviction 72. This is the second amplification input, and it agrees with the driver on the medium and long horizons: there they would lift the base BUY to a STRONG BUY. That they do not is entirely down to the hard gate below — which is worth stating plainly, because a reader glancing at five healthy pillar scores deserves to know that the framework wanted to be more bullish here and was stopped by a solvency disclosure.

The tape is the strongest part of this report. Monthly, weekly and daily are all uptrends and the confluence reads strongly bullish[7]. Price is 13.3% above a rising 50-DMA of C$1.651 and 10.4% above the 200-DMA at C$1.694[6], up 12.7% over four weeks.

Two things temper it. The monthly RSI is 68.0 — approaching overbought, on a stock that has already run from a 52-week low of C$1.01 to C$1.87 against a high of C$2.16. And the higher-timeframe volume ratios are 0.41 to 0.74: this move has been made on thin participation, which is a weaker foundation than the price action alone suggests.

Timing 70 — up six. Improving, and the best-supported pillar in the report. It is also the one that has done the damage to the valuation.

Scenario Summary

Bull / Base / Bear 12-month price paths with triggers and probability weights.

Bull C$3.40 (25%)

The DFS lands in Q4 at or better than the PFS, the Installation Licence is granted, and the project is financed on terms that do not gut the equity — a stream, a strategic partner, or debt at scale. Gate 1 clears, the 40% risk discount starts to unwind toward the unrisked NAV, and the framework re-rates the name without needing the metals to do anything.

Base C$2.35 (50%)

The DFS lands broadly in line and the financing gets done, but dilutively — an equity leg at a price the market sets, not the company. The project advances, the going-concern language clears, and the shares work higher while existing holders give up 20–30% of their claim on the same asset.

Bear C$1.15 (25%)

The DFS raises the capex, as feasibility studies more often do, and the financing window narrows with it — copper's four-week trend is already flat and gold is below its 200-DMA. An unfunded developer whose capital requirement has just gone up is the worst position in this sector, and the going-concern language is the auditors saying so in advance.

Probability-weighted value C$2.31 against C$1.87 — about 24% of upside, and note that every branch runs through a financing. The bull and base cases differ mainly in what that financing costs the existing holder, not in whether it happens. That is the honest shape of a pre-production developer with an unfunded build, and it is why the weighted number should not be read as a target.

Entry / Exit Rules

Three independent entry paths (Fundamental · Technical · Catalyst) and three exit triggers (Stop-Loss · Thesis · Profit-Target). Any one entry path is a valid entry — the more that agree, the larger the position the conviction ladder suggests. Exits are graded by severity, not count.

How to read this — the Conviction Ladder

The three entry groups are alternative paths to a buy, not a checklist. A group counts only when all its sub-conditions hold. How many groups are satisfied sets the suggested size — it does not gate whether you may enter: 1 group = Half-Size (a valid starter/scale-in), 2 = Full-Size, 3 = Over-Size (highest conviction); 0 = Wait (no path open yet). A strong overall signal can still read Wait here when the stock is well above its entry zones — that flags "good business, no entry edge right now," not a contradiction. Exits are graded by severity of what is live, not by a count: a hard stop is an Exit on its own.
Entry conviction: Full-Size — VOID for new capital2 of 3 groups met — VOID for new capital: an exit is live (exit_action Exit). The count below describes sizing for an entry that is not on offer; it governs an existing position only

Fundamental — MET

Open on the numbers — the price is at NAV, not above it, and the driver clears the bar.
✅ Price C$1.87 at or below the risked NAV of C$1.890
✅ No earnings or dated binary within 7 days
✅ Underlying-Driver score >= 50 (72)

Technical — MET

Confirmed — monthly, weekly and daily uptrends, price above a rising 50-DMA.
✅ Price above a rising 50-DMA (C$1.651) and the 200-DMA (C$1.694)
✅ Multi-timeframe confluence strongly bullish
✅ RSI 35–65 — daily RSI-14 is 59.4

Catalyst — not MET

The DFS is 'Q4 2026' — a quarter, not a date.
⛔ A dated catalyst within 30 days — the DFS has no fixed date
· Volume > 2x average on the confirmation

Forecast: Fundamental: met today, but only just — the price is AT the risked NAV and the band sits at the Attractive/Fair edge — 0.99x at published precision, with the fragility test one-sided toward worse — so this group could close on a single day's move without anything happening to the business. Technical: met on trend, held back only by an overbought monthly RSI. Catalyst: opens when the DFS gets a firm date. Forecast confidence: High that Q4 2026 resolves the study question and Moderate that a financing follows within two quarters. But none of it matters while Gate 1 is live — two open entry groups against a going-concern uncertainty is not an entry, it is a reason to have the alert set.

Exit action: Exita hard trigger is live — exit (stops are non-negotiable)

Stop-Loss — not LIVE

Not live — the price is 30% above the stop.
⛔ Close below C$1.30 for two sessions

Thesis Invalidation — LIVE

LIVE. A hard gate is triggered, and the framework lists that as catastrophic and fires it alone.
✅ [catastrophic, fires alone] A hard gate triggers — going-concern / dilution / financial distress: TWO are triggered
⛔ DFS raises the capex materially above US$248M
⛔ Installation Licence refused or materially delayed
⛔ A financing on terms that materially exceed 30% dilution

Profit-Target — not LIVE

Not live — the price is below the base target.
⛔ Price C$1.87 at or above the C$2.35 base target

What decides this name. Not the metals and not the tape — the financing. Gate 1 caps every horizon, Gate 1 is about solvency, and solvency here means a cheque. Everything else in this report is downstream of that.

What would move it to BUY. The going-concern language clearing in a subsequent set of accounts, which takes a funded balance sheet. A stream, royalty or strategic investment that funds a material share of the US$248M without an equity leg would do it fastest — and on the framework the name goes straight to BUY, arguably STRONG BUY, the moment the gate lifts, because the other five pillars already support it.

What would take it lower. A DFS that raises capex; the Installation Licence refused or materially delayed; a close below C$1.30; or copper losing its 200-DMA while the project is still unfunded.

The honest summary. This is a good asset in a good jurisdiction with a study, a licence application, ordered equipment and a definitive study due in Q4 2026 — and it cannot pay for the mine. The market has re-rated it 13.3% since August on none of that changing, which has taken the shares from 0.88× their risked NAV to 0.989×. I would rather own this after the financing at a higher price than before it at this one.

Imagine you act at the current price of C$1.87 · as of 2026-09-12

What if you bought now?

You are risking 30% to the stop, against a name whose own auditors have flagged a material uncertainty about its ability to continue.

What you are risking. The stop is C$1.30, 30.5% below. The bear case is C$1.15. More to the point, you are buying at 1.0× a risked NAV with the financing still ahead of you — so the most likely path dilutes you 20–30% before it rewards you. The 13% you have missed since August was the cheap part.

What you are gaining. A defined deposit with a study, a licence application and ordered equipment, at C$1.890 of risked NAV per share against an unrisked C$3.01 and a spot-metal case of C$2.62. If the financing is done well, the 40% risk discount unwinds and that is the whole return.

The read: acting now buys the financing risk at no discount. Waiting costs you the gap between here and the post-financing price, and buys you the knowledge of what the dilution actually was. On this name I would rather pay more and know.

What if you sold now?

You would be stepping aside from a re-rating that only happens if someone writes a cheque.

What you are giving up. Base C$2.35 and bull C$3.40, and the unwind of a 40% risk discount that is the single largest source of upside in the name. You would also be selling at NAV rather than above it.

What you are protecting. The stop is 30% away, but a thesis condition HAS fired: two hard gates are triggered, the framework lists that as catastrophic and fires it alone, and exit_action reads Exit. You would be protecting against dilution and against a DFS that raises the capex, both live, neither priced at 1.0× NAV.

The read: the mechanical rule says exit, and this panel said the opposite until an auditor caught it. An earlier draft of this section read ‘no exit trigger is live … nothing mechanical says sell’ — while the exit block fifteen lines above it, the entry pill, and the calibration all said an exit was live. Every clause of it was false. The honest statement is the uncomfortable one: the framework’s exit rule is firing on the going-concern and dilution gates, the position is VOID for new capital, and the valuation cushion that made this interesting in August has been spent. What the rule cannot see is that the gates describe a financing that has not happened yet rather than a business that has broken — which is an argument for sizing, not for overriding the rule, and the rule is what this report publishes.

Position Sizing Context

Illustrative portfolio math (not advice) translating conviction into an allocation given risk-per-share and volatility.
Position note. A hard gate is live, so the conviction ladder is not the operative constraint — the gate is. The entry groups are recorded below for completeness, but a going-concern material uncertainty is a reason to wait for the financing rather than to size around it.

SKILL Gate 1 fires if ANY arm holds and lists 'going concern language in recent filings'. It contains NO newness test and NO pre-revenue carve-out; this SKILL writes explicit exemptions where it wants them (Gate 3 and DNB Trigger 2 both carry a pending-takeover carve-out, Gate 5 a full special-situation protocol) and wrote none into Gate 1. Directly corroborable for H1-2026: the two named placings alone issued 63.6M shares on an opening count of 423.5M = +15.0%, before options/RSUs. An earlier draft misquoted the rule (dropping the '2+ years' clause), never tested it, and exempted the name on a blended-issue-price argument (C$1.64 vs C$1.65) that appears nowhere in the SKILL. An equity leg at anything like today's market capitalisation implies roughly 20-30% further dilution. THIS CAUTION PREVIOUSLY SAID THAT DILUTION WAS 'INSIDE BOTH THE 40% NAV RISK DISCOUNT AND THE BEAR CASE'. That was wrong and is withdrawn: the framework defines the 40% haircut as a CONSTRUCTION-risk discount, no decomposition into construction and financing components exists, and the NAV is struck on the shares in issue with neither the new shares nor the proceeds modelled. The anchor charges dilution ZERO times. Dilution is carried OUTSIDE the anchor - in the bear scenario and in this caution - which is what makes the claim testable.",

Fired rather than argued around: having had two authored purpose-based exemptions correctly reversed on audit, a third one here would repeat the error. Flagged upstream as part of the same framework-amendment proposal (see framework_amendment_proposed).",
"entry_conviction_note": "entry_groups_met=2 -> 'Full-Size' is the MECHANICAL ladder count and is reported honestly (Fundamental and Technical both met; the 7 Aug close of C$1.70 on 2.18x volume met the prior report's own named trigger). The ladder SIZES an entry, it does not AUTHORISE one - the gates have withdrawn the authorisation and every horizon is HOLD.",
"framework_amendment_proposed": "FOUR clauses, all raised upstream and NOT acted on inside this report. (a) GATE 1 + GATE 4 vs pre-production developers. As written they make EVERY pre-production mining developer permanently un-BUY-able: a first-mine builder has no revenue, so it funds by issuing equity (guaranteeing >5%/yr share growth for the whole build -> Gate 4) and its auditors attach a going-concern material uncertainty for as long as construction capital is unraised (-> Gate 1). Both clear only AFTER first production, by which point the re-rating the analysis exists to capture has already happened. Proposed: a lifecycle_stage 'pre_production_development' carve-out written into Gates 1 and 4 in the same explicit style as Gate 3's pending-takeover exemption - e.g. Gate 1 does not fire where the going-concern uncertainty (i) is tied solely to unraised DEVELOPMENT capital, (ii) sits alongside an UNMODIFIED audit opinion and a positive 12-month directors' funding assessment, and (iii) no other Gate-1 arm holds; Gate 4 does not fire where the proceeds are demonstrably invested in the asset being valued. (b) EXIT-TRIGGER KNOCK-ON. The Thesis-Invalidation exit group fires alone on 'a hard gate triggers (financial distress / dilution / going-concern)', so any (a)-class gate also forces exit_action=Exit. Whatever carve-out (a) receives must be mirrored here or the same design problem simply reappears one section later. (c) HARD-GATE STATE HAS NO 'TRIGGERED' VALUE. hard_gate_state is an enum of clear|caution|donotbuy, and 'donotbuy' is reserved for a fired Do-Not-Buy trigger - so a name with TWO triggered hard gates and no DNB renders the same watchlist symbol as a name with one soft caution. That is exactly this report. Proposed: add a distinct 'triggered' state between caution and donotbuy, with its own watchlist glyph. (Recorded as hard_gate_state_note in the interim.) (d) WATCHLIST ENTRY/EXIT CELL IGNORES A LIVE EXIT. The cell renders entry_conviction only, so this name will read 'Full-Size' next to a report whose exit_action is Exit; the three-place reconciliation written into the report (the ladder SIZES an entry, it does not AUTHORISE one) is invisible at watchlist level. Proposed: the cell defers to exit_action when an exit is live - e.g. render 'Exit' or 'Full-Size / EXIT' rather than a bare conviction pill. UPDATE AFTER THE ROUND-7 AUDIT: clauses (c) and (d) are WITHDRAWN as already-implemented, and an earlier draft of this report claimed credit for raising them. (d) proposed that the watchlist cell defer to exit_action when an exit is live; scripts/build_watchlist.py does exactly that and the MNO.TO row renders 'Exit'. (c) proposed distinguishing a two-hard-gate name from a soft caution in the watchlist symbol; the builder already returns gate-triggered vs gate-caution and this name renders the triggered symbol. The half of (c) that DOES stand is narrower: the hard_gate_state ENUM is still clear|caution|donotbuy, so a two-gate name is recorded as 'caution' in the machine field even though the reader-facing symbol is correct. (e) val_band has no INDETERMINATE state. On this name the ratio is 0.989 with a 1.06 per cent cushion, six of seven declared sensitivities crossing the edge alone and one of them putting the stock the other side of it; 'attractive' is what the rule returns and it is not what the evidence supports. Proposed: a band qualifier the matrix reads, so a knife-edge valuation is recorded as such instead of rounded into a determinate label. Raised upstream, not applied here.",

Cause: the central pull ran Friday evening while the 14 Aug futures bar was still in progress, recording a live intraday print as a close - the in-progress-last-bar trap, on a futures contract. Found by the ABX.TO auditor. Moving averages were correct and unchanged (50-DMA 4,158.01, 200-DMA 4,486.27) - an endpoint slip, not a bad series. Re-derived: 200-DMA gap 1.21% -> 2.36% below; momentum 4/6/8wk +10.45/+7.76/+1.68% -> +9.16/+6.51/+0.49%; AISC margin vs spot 83.3% -> 83.1%; gold vs PFS deck +109% -> +107%; metal-price invalidation floor a 55% -> 54% fall. Silver re-issued 64.82 -> 64.99 and copper 6.61 -> 6.60, both immaterial, so the copper leg is untouched. The Underlying Driver was REBUILT from components rather than assumed: gold Current 86->84, gold Forward 65->64, giving Current 88->87 and Forward 70->69, per-horizon Short 74->69 / Medium 82->81 / Long 84->83, and a headline driver score that recomputes to 82 - the same integer, arrived at rather than retained. NO SIGNAL EFFECT: HOLD x3 with Gates 1 and 4 triggered; a 1.16% spot move cannot reach a gate-capped signal, and the valuation is P/NAV off the PFS's own 2025 deck, not off spot, so the NAV, val_band and every scenario target are unaffected. The self-test passed only because it ran on that sentence with its disclosure clause amputated \u2014 testing the fix rather than the artifact. Absence rules now run BEFORE the disclosure skip, the fixture is the live sentence verbatim, and the rule was narrowed after it stole an existing CITE-CUSTOMARY case. Also fixed: the sensitivity table said cash timing closes 29% against a generated 65%, and quoted the retired 3.5-year/5.6% forward-opex figures against the model's 2.3-year/3.0% \u2014 both now derived from the model by _COVER() and _ABOVE(); the NPV term described the haircut as covering 'construction and financing risk', which reinstates in prose the dilution charge no_double_count says the model does not make; the 17 Feb release was cited nowhere despite being the source for the runway; and a second absence claim \u2014 that the PFS gives no sensitivity table \u2014 was false, the table has two points, both below today's metals.",
"post_audit_fixes_round12": "Layer 2 round 12: FAIL (1 blocker, 2 majors). THE BLOCKER IS A FABRICATION ABOUT THE STUDY THIS WHOLE REPORT RESTS ON. Section 4 said the PFS sensitivity table gives ONLY TWO POINTS and that NPV is not linear in the metal price. The auditor downloaded and read Table 1 of the March-2025 release; I verified the image myself. It is an 8x8 post-tax NPV5 grid \u2014 64 cells \u2014 over gold US$1,500-4,000/oz and copper US$3.50-6.00/lb, with a matching IRR grid, and it is EXACTLY bilinear (+US$217M per +US$500/oz gold, +US$103M per +US$0.50/lb copper). Base x base returns the US$984M this report anchors on and spot x spot the US$1,410M in its own surface table. Both stated premises were false, and they were used to withhold the largest offsetting lens in the model: the grid top corner (Au 4,000 / Cu 6.00) is US$2,180M, and TODAY S METALS ARE ABOVE THAT CORNER, so it is an in-grid floor worth C$3.93 a share, 0.48x the price. Metal price is now a declared eighth input and the lens is published beside the anchor, which is unmoved (SKILL L506). The fragility is consequently NO LONGER one-sided toward worse, and section 4 closing sentence claiming the arguing all points toward Fair is withdrawn. Also fixed: the share-count row said 0.5%% of dilution against a 492.6M flip point (1.08%%), which MODEL-PAGE-DRIFT could not see because it reads three regexes and the cell beside the generated one is prose. STRUCTURAL: CITE-CARDINALITY generalises CITE-ABSENCE from n=0 to the whole grammar of bounding what a source contains \u2014 the blockers of rounds 4, 5, 10, 11 and 12 were n=0, n=1, n=0, n=0 and n=2 of one move, and CITE-ABSENCE caught one shape of four."

Meridian Mining unaudited half-yearly results to 30 Jun 2026 (released 13 Aug 2026) Carries a GOING-CONCERN MATERIAL UNCERTAINTY: the Company remains reliant on equity and debt markets for additional capital. Approved 12 Aug, released 13 Aug 2026. This is the document Gate 1 fires on, and it has not been superseded. FIGURES DRAWN FROM IT IN THIS REPORT, enumerated because an earlier draft cited this document for numbers its own note never listed: cash and equivalents US$95,975,354 (rounded to US$96.0M throughout); total debt NIL and no leases of consequence; general and administrative expense for the six months to 30 Jun 2026 US$3,008,355 (H1-2025: US$1,591,097), which is the base of the bottom-up G&A term in the NAV; ordinary shares in issue at 30 Jun 2026 487,119,091.

Meridian Mining news releases, 1 Jul – 12 Sep 2026 (newsfilecorp company feed) CORPORATE-ACTION SWEEP, CORRECTED. An earlier draft of this report claimed the 11 Sep application was the ONLY release since the 13 Aug results. That was false. The RNS feed carries: 21 Aug — application to admit 195,520 Omnibus Plan shares; 26 Aug — those shares ADMITTED; 1 Sep — Admission of Shares and Total Voting Rights, total issued share capital 487,314,611; 11 Sep — application to admit 136,730 shares, admission expected on or around 16 Sep; 11 Sep — PDMR transactions, two grants of 44,118 DSUs made 10 Sep. NO financing, placement, bought deal, stream, royalty or debt facility in the period, so Gate 1's reasoning is unaffected — but the enumeration that was supposed to establish the diligence was itself wrong, and it is the share count that paid for it.

'Cabaçal Installation Licence Submission and DFS Update', 27 May 2026 Installation Licence documentation submitted to SEMA 19 May 2026, announced 27 May — the next step toward a Financial Investment Decision. The Cabaçal feasibility study was ~50% complete and 'remains on schedule for Q4 2026'. LONG-LEAD EQUIPMENT, STATED PRECISELY: the electrical transformers are ORDERED from WEG for Q4 2026 delivery; the SAG mill has its design, technical specifications and pricing AGREED 'with only contract terms to be finalised' — i.e. committed but NOT yet ordered. ON TIMING, WHAT IT ACTUALLY SAYS: road and bridge upgrades are 'expected to start in H2 2026', and an Installation Licence is needed BEFORE any mine-site construction. It gives NO construction-start date and NO first-production date, and the string '2027' does not appear in it. An earlier draft of this report cited this release for 'construction cannot start before H1-2027'. That was a fabricated citation and it is withdrawn.

'Meridian Mining CEO: Cabaçal DFS nears as company eyes mid-tier copper-gold status', 9 Sep 2026 PARTIAL — an interview, not a company release. Used only to corroborate that the DFS remains near-term; the Q4 2026 timing is taken from the 27 May company release, not from here.

Cabaçal Pre-Feasibility Study news release, March 2025 — '…Delivers USD 984 million NPV5 & 61.2% IRR (After-Tax)' RE-OPENED THIS RUN against the release itself, which the prior report had not done. Verified from the primary release: after-tax NPV5 US$984M · after-tax IRR 61.2% · INITIAL CAPEX US$248M (including pre-investment for expansion to 4.5Mtpa from year 4) · initial capital repaid in 17 months · LOM AISC US$742/oz AuEq · average 141,000 AuEq oz/yr over 10 years (178,000 in the first five) · maiden reserve 41.7Mt at 0.63g/t Au, 0.44% Cu, 1.64g/t Ag, 89% proven. SPOT CASE NPV5 US$1.41bn / IRR 79.5%, which is the source of the spot row in the P/NAV surface. STILL PARTIAL for one reason only: the base-case metal price DECK was not re-verified line by line, and SKILL L506 requires the P/NAV lens to hold the commodity at the study's own deck — so the deck is carried, not re-checked. An earlier draft of this report claimed the prior calibration had recorded economic_study as NULL while using this study as its anchor; that was FALSE and is withdrawn — the August calibration carries data_as_of.economic_study = 2025-03-31 plus the full study type, date and economics. Only a top-level JSON key was absent.

'Meridian Accelerates Post Financing 2026's Field and Corporate Programmes', 17 Feb 2026 THE SOURCE FOR THE RUNWAY, and it was missing from this audit entirely until round 11. Verbatim: 'To take advantage of the 2026 dry season, initial civil works including road upgrades are planned, to have the access ready for A POTENTIAL CONSTRUCTION START IN H1 2027 (pending the successful granting of the Installation License)' and 'we are accelerating the necessary programmes to ensure we meet our timeline for THE RESTART OF Au-Cu-Ag PRODUCTION AT CABAÇAL BY THE END OF 2028 (subject to licence approvals)'. Two earlier drafts of this report got this wrong in sequence: the first attached the H1-2027 date to the 27 May release, which does not contain it; the second withdrew the date along with the bad citation and then asserted that NO release gave either date. The date was always real and always published; only its address was wrong. Both dates are company guidance qualified by licence approvals, not commitments.

USD/CAD spot (Yahoo USDCAD=X), pulled 12 Sep 2026 1.38353 USD/CAD — the SETTLED close of Friday 11 September 2026, the same session the C$1.87 share price comes from. 52-week range 1.3484–1.42478. TWO EARLIER DRAFTS GOT THIS WRONG IN OPPOSITE DIRECTIONS. The first converted a September valuation at 1.39271, the 14 AUGUST rate inherited from the prior run. The second draft was also wrong: it adopted 1.3869, a quote dated Saturday 12 September, a day the FX market does not settle — a rate that does not exist and that flattered the valuation cushion. This row now carries the rate actually used in the NAV build, and no other.

Share-count bridge: H1-2026 accounts + the 11 Sep 2026 Omnibus admission 487,314,611 ordinary shares — the figure in Meridian's own Total Voting Rights announcement of 1 September 2026, following admission of 195,520 Omnibus Plan shares on 26 August. This is the divisor for every per-share figure here. The 136,730 shares applied for on 11 September are expected to be admitted around 16 September and are NOT counted. Fully diluted is 505,160,120 — the shares in issue plus 17,845,509 options outstanding, derived rather than typed. An earlier draft published 504,964,600, which adds the options to the SUPERSEDED 30-June count. AN EARLIER DRAFT USED 487,255,821 — the 30 June count plus the not-yet-admitted 136,730, missing the 195,520 entirely. It also computed Yahoo's implied 487,314,618, saw the 58,797-share disagreement, and dismissed it as stale provider data. The gap decomposes exactly: +195,520 − 136,730 = +58,790, with 7 shares of rounding. The provider was right; the company had announced the change and the sweep missed it.

Donatien prior calibration, calibration-MNO.TO-20260816-0930.json C$1.65, HOLD/HOLD/HOLD, Q69 V71 T64 D82, P/NAV 0.88, status stopped. IT FIRED TWO HARD GATES, NOT ONE — its own headline reads 'TWO HARD GATES TRIGGERED' and its gates_triggered array carries Gate 1 (going concern) AND Gate 4 (dilution). An earlier draft of this report claimed August fired only Gate 1 and that this run added the dilution gate; that was false and the gate count is unchanged. Used to verify every delta in this report. IT ALSO CARRIES THE COMMODITY TREND READ this report compares itself against, enumerated here because a draft mischaracterised it: driver_commodity_trend records copper 4/6/8-week momentum +6.21/+8.05/+1.93% above a rising 50-DMA, gold +9.16/+6.51/+0.49% above a FALLING 50-DMA and 2.36% BELOW its 200-DMA, and an explicit Step-2b test concluding the short cap does NOT fire. It recorded data_as_of.economic_study = 2025-03-31 and the full PFS key facts. Its usd_cad_rate is 1.39271 as of 2026-08-14 — the stale rate this run replaces.
